PURPOSE AND OBJECTIVE
SAP is seeking a Legal Counsel to work within its Field Legal Organization in the Americas region. You will be a part of the North America Field Legal Team and will provide legal expertise for SAP and its business teams, particularly SAP’s sales teams in the Western United States, the West Market Unit. Primary responsibilities include drafting and negotiating multiple complex technology cloud service, license, and related agreements to help achieve SAP’s business growth strategies and objectives, within SAP risk tolerances, while maintaining SAP policies, and complying with applicable laws. In addition, the position may support one or more internal lines of business/practice areas such as marketing, bankruptcy, financing, M&A, etc. You will act as a prime contact for the relevant sales and related business teams and provide legal advice and counseling on a wide variety of matters, including intellectual property, licensing, services transactions, and license compliance matters.
This position requires independent thinking with strong communication, negotiation, and analytical skills, superior business judgment, the ability to resolve complex issues in an effective and solution-oriented manner, and the ability to manage multiple projects and transactions at the same time. You will need to demonstrate the ability to draft and negotiate complex agreements, work with sales and services professionals, pricing and revenue recognition teams, and others, in a fast-paced environment. The ability to work with a team across a wide organization is critical. This position spends a significant amount of time in customer-facing negotiations (SAP office and on-site at customer locations as required). Experience in the software sector is strongly preferred.
Requires a JD degree, active membership in at least one state bar, and a minimum of 3-5 y ears of related experience.

DUTIES AND RESPONSIBILITIES
Work directly with customers to prepare, negotiate and draft direct customer contracts. Responsible for negotiating and resolving contract issues in all company lines of business, including without limitation licensing services and development agreements.
Work closely with internal Contracts, Sales, Pricing, and Revenue Recognition teams during the drafting and negotiation process.
Verify customer user and pricing information provided in the Order Form with Quotation tools provided by Account Executive, and work with Revenue Recognition team to ensure final business and contract terms do not cause revenue deferrals
Support of Internal Line(s) of Business and/or Practice Area(s) – Support business leaders and teams on various issues related to such areas.
Support might include overseeing outside counsel, working on a matrix team with the business, helping to develop/support new programs, etc.
Internal Customer Support: interface with sales, services account teams, their management, and other lines of business representatives to provide support and training as well as knowledge transfer.
Advise personnel of the legal ramifications of past and proposed actions, and formulate solutions to problems.
Anticipate problems and initiate actions to resolve them using professional qualifications and experience and in accord with company policies and procedures.
At the direction of General Counsel or Assistant General Counsel, collaborate with legal colleagues (global and local) and relevant F/A functions with respect to the creation of new or updated programs, development of contract templates, manuals, and other materials in support of such programs in accord with SAP policy and procedure, while mitigating risk to the company and achieving regional/global consistency
Special Projects: Perform special projects as assigned by the supervisor.
EDUCATION AND SKILLS
Juris Doctor - Graduation from A.B.A. accredited law school
At least 3-5 years’ experience with software/Cloud licensing.
Preference is experience and expertise in negotiating key terms for Cloud agreements, such as data protection, data analysis, security, compliance/regulatory, limitation of liability terms, etc.
Strong interpersonal, leadership and communications skills.
Experience in providing legal counsel to sales teams
Active membership in at least one state bar
