Primary Purpose
The Senior Attorney position will assist the Associate General Counsel - Corporate and Securities in the areas of securities law, corporate governance, investor relations, executive compensation and other legal issues affecting a public New York Stock Exchange listed company.
Duties and Responsibilities
- Compliance with Federal securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934 and supporting Financial Reporting.
- Monitoring, maintaining, and implementing various corporate governance practices and policies, including compliance with New York Stock Exchange listing requirements.
- Supporting Treasury in (I) raising money in the capital markets, (ii) redemptions and (iii) negotiating and interpreting revolving credit facilities.
- Supporting Investor Relations in reviewing earnings and analyst materials and complying with Regulation FD.
- Supporting Compensation and Benefits on executive compensation matters and related disclosure issues.
- Supporting the Corporate Secretary in connection with Board of Directors and Committee meetings, corporate governance issues, and shareholder outreach.
- Performs other duties as assigned (no more than 5% of duties).
