The General Counsel serves as a strategic legal executive and advisor to the senior team and Board of Sentara, and a business partner to leadership across the organization. He/she proactively engages business leaders and serves as a trusted and go-to partner on all critical legal matters facing the organization.

- Serve as the principal legal advisor to the organization and Board of Directors on legal, governance, and risk management matters.
- Proactively engage with leaders throughout the organization to ensure legal implications are being taken into account in all business operations.
- Support Sentara’s clinically integrated network, and assist in managing the relationship between the hospital system and their Optima health plan; advise the business on payer and provider contracting.
- Serve as the principal legal advisor on all mergers and acquisitions, divestitures, alliances, partnership agreements, and other complex commercial transactions.
- Provide counsel and representation to the organization, and oversee all litigation and negotiation of disputed matters in a way that protects Sentara’s rights and reputation.
- Serve, or support team member who serves, as Corporate Secretary, ensuring the fulfillment of board management tasks and the handling of all other related responsibilities.
- Oversee contract drafting and negotiation with Sentara clients, suppliers, and others.
- Develop standards for the provision of legal services to improve quality and reduce cost, including the development of formal contracts, guidelines, legal documents, policies and governing documents.
- Develop and lead an appropriately structured, effective in-house legal team; rationally allocate the provision of legal services between the in-house team and outside counsel

Experience
• Breadth of Legal Experience: A J.D. from a respected law school, 15 years of legal experience (with prior in-house experience preferred), and a background working across a range of legal disciplines, including but not limited to contracting, M&A and other complex transactions, anti-trust, and board management.
• Industry Experience: Experience working in healthcare services, ideally a complex health system or a payer; an understanding of payer and provider contracting (including risk-based contracting) is critical, as is a background engaging with Stark, the Anti-Kickback Statute and related laws.
• Management Experience: Experience building and effectively managing a team of attorneys and other legal professionals. Experience running an effective legal organization
