A Day in the Life

 

The Contract Manager will have general job responsibilities that will align with the company’s contract management, negotiations and administration responsible for preparing, negotiating, and recording business contracts on behalf of the company across many industries, including accounting, architecture, automotive, consumer goods, education, engineering, financial services, government agencies, health care, legal, licensing, marketing, medical, non-profit, professional services, real estate, retail, software, staffing and recruiting, start-ups, technology, telecommunications, and more.  The person in this position will also handle a variety of matters as needs arise with respect to disputes, leases, insurance, and company legal affairs.

Techie Aptitude

 

As the name would suggest, the Contract Manager is responsible for assisting with the management of all contracts that Synoptek is negotiating and entering with the goal of ensuring that all contracts are completed efficiently, including a variety of different contracts covering a range of transactions. The Contract Manager must be able to interpret and understand the details and potential benefits or pitfalls of any contract, and must fulfill the following duties and responsibilities:

  • Assist in the administration, organization, and management of the flow of contracts and ensure use of company’s policies and procedures.
  • Participate in the preparation, review, evaluation, revision, negotiation and finalization of various contracts, both standard company contracts and non-standard contracts, with customers, vendors, partners, and subcontractors for a range of service offerings, including, but not limited to, Non-Disclosure Agreements, Master Service Agreements, Service Orders, Statements of Work, Subcontractor Agreements, Reseller Agreements, Sales Channel Agreements, Business Association Agreements, Data Protection Agreements, and Amendments.
  • Identify, summarize, and document material terms and key dates of executed agreements.
  • Monitor new and pending contracts, including Master Services Agreement, Service Orders, Statements of Work, and, under supervision, move forward with close-out, extension or renewal in the company’s best interests.
  • Interpret, assess, and provide guidance on contract terms to internal team members.
  • Ensure all contracts are in compliance with company policies during contract negotiation phase.
  • Evaluate consistency in contracting language to support legal/regulatory compliance and business objectives.
  • Assist in the review and research of contract-related issues and provide support to determine responsibility and final resolution of issues.
  • Assist in maintaining records for correspondence and documentation related to pending contract negotiations.
  • Assist in ensuring the company’s internal contract documents are accurate and well maintained.
  • Maintain good working relationships with team members to ensure their needs are met.
    • Complete Synoptek security trainings upon request.
    • Perform other duties as assigned.

 

Qualifications

  • Bachelor’s degree from a four-year college or university in business, management, administration, finance, law, or a related field and 2-5 years professional experience with contracts as a legal advisor or contract manager and/or in-house paralegal experience supporting the corporate legal function at a mid-sized company or an equivalent combination of education and experience (or paralegal, law school graduate, or attorney).
  • Analytical and critical thinking abilities.
  • Organizational and communication skills - both written and verbal, with a strong attention to detail.
  • Possess the ability to multitask, prioritize, and manage time efficiently.
  • Ability to handle large amounts of diverse, often conflicting, information and to organize and coordinate appropriate actions critical to the performance of the company.
  • Ability to handle multiple assignments with shifting deadlines and drive work to completion within specified timelines in a fast-paced environment.
  • Ability to exercise out-of-the box thinking in the daily job within the bounds of policy, and contractual language to maximize company returns and minimize risk to the company.
  • Self-starter and comfort and ability in both working independently and collaboratively with Contracts Director and Corporate Counsel as needed.
  • An understanding of legal contract terminology.
  • An understanding or technical knowledge of the IT industry and experience with IT services, such as ITaaS, SaaS, is preferred.
  • Proficient computer skills and knowledge of common programs such as Microsoft Office Suite (Word, Outlook, Excel, and PowerPoint).
  • Capable of professionally managing and maintaining confidential and proprietary information.

Physical Requirements and Working Conditions

  • May require sitting, standing, and staring at a computer for extended periods of time while doing repetitive tasks with few breaks.
  • May be expected to travel as needed to company functions.
  • Periodic weekend or evening work is expected.
  • This role will be ideally located in our Irvine, CA, Boise, ID or Denver, CO office(s), but remote work locations will be considered. We offer a flexible work environment, to include a hybrid approach between work and home.
