Corporate Counsel
Privately-held national transportation company seeks experienced Corporate Counsel for its corporate headquarters in Milwaukee, WI.
Position Summary
The Corporate Counsel will be responsible for providing guidance to management in identifying, evaluating, managing and mitigating the company’s risk on a wide variety of corporate and business operation matters. This is a generalist position which requires a broad-based legal skill set and offers an opportunity to assume significant responsibility in a one person legal department and collegial environment.
Job Responsibilities
· Review, draft and negotiate customer contracts, vendor agreements, real property leases, and other miscellaneous agreements (non-disclosures, personal property and equipment leases).
· Work with finance department on review and negotiation of legal documentation for financial and equipment finance transactions.
· Advise management on key issues with contracts, leases, vendor agreements, and various other legal matters.
· Manage uninsured litigation and work with risk management and insurance department on insured claims, litigation and strategy.
· Prepare and maintain corporate records.
· Support operations in matters involving regulatory compliance.
· Conduct due diligence in cooperation with management regarding acquisitions and real property purchases; and draft/review acquisition and purchase agreements and handle closing.

· Ability to work efficiently, prioritize workflow, and meet demanding deadlines.
· Detail oriented with excellent verbal and written communication skills.
· Ability to analyze and translate complex information to provide business risk evaluation and recommendations to management.
· Ability to work independently and effectively represent Legal Department as part of multi-functional team.
· Ability to work and interact comfortably with senior leadership.
· High degree of ethical standards and professionalism.
· Proficient in the use of Microsoft Office products.
Education/Qualification Requirements:
Juris Doctorate (JD) from an ABA accredited U.S. law school.
Licensed to practice law in Wisconsin.
Minimum of five to seven years of law firm or corporate legal department experience with a broad range of corporate and commercial law matters.
