Overview: Responsible for paralegal functions for the Corporate Legal Department, including docketing, contract review, claim assistance, and administrative management of the compliance program, as well as a variety of research and administrative functions. Responsibilities: Act as support to the regional counsel on compliance matters, ensuring smooth and efficient handling of compliance matters. Liaise with regional counsel, outside counsel and Risk Rate provider to initiate, process and follow-up on third party intermediary due diligence. Maintain third party intermediary documentation and compliance training records. Coordinate third party intermediary audits and re-vetting efforts. Liaise with global regional counsel, outside counsel, and service providers with respect to compliance training for employees and third parties. Support the global regional counsel with respect to compliance and ethics reports received on the Company’s Ethics Hotline. Intake customer and supplier contracts collecting all necessary information needed for review; Assigns contracts to counsel for review and negotiation; maintains docket. Prepare and/or review Non-Disclosure and Confidentiality agreements with customers and suppliers under the guidance of Legal Counsel. Follow up on contractual stages, monitors contract “life” from planning stage to final payment (on time) and reports on status or issues to stakeholders. Facilitate communication between the various business units, department and individuals with respect to contract status and terms. Assist in the establishment of risk and contract management procedures and maintains files and records as required. Work on all aspects of litigation, including document review and preparation, discovery responses and document productions, attending meetings, scheduling, and status monitoring. Manage outside legal service providers on litigation matters. Collaborate with operations management, local leaders and stakeholders to facilitate, to the maximum extent possible, to ensure compliance of policies (contract management, compliance, TDW’s Code of Conduct and Ethics, including the US Foreign Corrupt Practices Act and the UK Bribery Act) according to standards of performance, processes and procedures, Facilitate in conjunction with Legal Counsel training sessions to explain the ‘why’ and the ‘how’ regarding policies & procedures (described above) and their implementation. Perform legal and non-legal research tasks, mainly online, and prepares reports of findings for Senior Counsel and Legal Counsel. Assist with the preparation of a variety of documents such as letters, memoranda, and presentations, Prepare and review corporate documentation from a variety of jurisdictions and liaises with outside counsel and Senior Paralegal in this respect as and when approved by the Senior Counsel or Legal Counsel. Assist with all aspects of company compliance, including export controls, code of conduct, FCPA, and anti-corruption. Collaborate with legal team on departmental matters including corporate governance matters. Required for Success: Bachelor’s degree, higher diploma, or professional equivalent, 2 - 5 years of experience with contracts, customers’ contracts, and supplier environment, 1 – 5 years of experience with compliance matters Strong written and verbal communication skills Culturally aware and comfortable with people from a wide variety of backgrounds; previous experience in a global environment is preferred but not required.
