What are the responsibilities and job description for the General Counsel position at Transak?
At Transak we are making Web3 applications accessible. We do this with enterprise-grade developer tools to allow web3 applications such as Metamask, Decentraland, and Anchor protocol to onboard users from fiat to crypto, delivered direct to their wallet. Without Transak, users of these applications would have to leave the in-app onboarding flow and figure out how to buy crypto on a 3rd party exchange and send it to their wallet.
We are looking for a General Counsel who will form part of our executive team to build our Legal function, ensure best practices across the organisation, support fundraising efforts and navigate the regulatory landscape.
Responsibilities:
- Provide strategic advice on governance and regulatory policies working with the Compliance team and regulators on matters including licensing and approval applications, compliance requirements such as AML/CFT and other related topics
- Monitor emerging legislation and regulation and keep the senior management team informed of regulatory developments within the crypto and payments space
- Handle corporate governance matters and manage internal processes and policies
- Draft and negotiate complex commercial agreements with different businesses to include licensing, sales agreements, master agreements, partnership agreements and other matters related to complex contracting transactions
- Evaluate proposed integration partnerships, providing legal guidance on related risks and mitigations
- Support the CEO and CFO in capital raising efforts and M&A opportunities
- Proactively engage with the rest of the company, including the Product, Engineering, People, Revenue, Operations, Compliance, Expansion and Finance teams
- Manage relationships with external legal firms
- Provide regulatory analysis of proposed business & operational structures, the creation of new products and features, and help to prepare submissions to secure regulatory and licensing approvals for services, products, and platforms in coordination with the Compliance team
- Provide strategic legal advice on complex regulatory matters and special projects including major transactions, acquisitions, fundraising and company growth and expansion
- Manage the company's IP and create a compliant and sound data privacy strategy and governance framework
Requirements:
JD/LLB (or equivalent) and LLM degree from a top law school, with minimum 15 years PQE at a leading law firm or in-house in tech companies
Strong knowledge of and a demonstrable interest in cutting-edge financial technology, crypto and/or financial services
Demonstrated ability building an in-house legal team
Excellent communication (written and verbal) skills and adept at working cross-functionally with colleagues in different departments
Strict attention to detail coupled with exceptional project management skills and the ability to effectively manage priorities in a fast-paced and rapidly-evolving environment
