Job Summary:
Energy regulatory and transactional specialist. Provide broad legal and regulatory services to UGI Energy Services, LLC (“UGIES”), its FERC regulated subsidiaries, UGI Development Company, UGI LNG, Inc., UGI Mt. Bethel Pipeline Company, LLC, UGI Storage Company and UGI Sunbury, LLC, and to UGI Utilities, Inc.,( “UGIU”). Provide transactional legal advice, drafting and negotiation to UGI Corporation, AmeriGas and UGI International on OTC hedging agreements for commodity, FX and interest rate swaps.
Job Responsibilities:
- Provide legal services to UGIES’ Supply and Marketing Departments for its energy commodity (gas, electricity, LNG, liquids) business lines. Responsibilities include: strategy development and general advice: drafting, negotiating and editing contracts and related agreements and documents for, and concerning, commodity purchase, sale, hedging, storage, transportation, capacity release and generation attributes transactions. Coordinate with business unit on all state licensing, bonding reporting and customer complaint issues. Advise on compliance and LDC tariff issues. Engage and manage outside counsel with respect to such matters.
- Represent UGIES’ and its FERC-regulated subsidiaries in all applicant and intervenor matters before the FERC. Responsibilities include: strategy development and general advice; drafting applications, tariffs, filings, pleadings and briefs; handling reporting and compliance activities; monitoring and reporting on FERC proceedings and rulemakings; attending hearings, conferences and meetings; and responding to discovery and information requests. Manage and Conduct annual FERC SOC training and FERC gas transactions audits for UGIES and UGIU. Assist on pipeline safety compliance and reporting matters. Represent UGIES on INGAA legal and rates committee. Engage and manage outside counsel with respect to such matters.
- Provide transactional support to UGIES and UGIU on renewable natural gas (“RNG”) matters. Responsibilities include strategy development and general advice; drafting and negotiating all manner of RNG agreements, including feedstock, offtake, attribute transfer and facility interconnection; provide regulatory advice and assistance for RINS and LCFS pathway registration and credit verification processes. Engage and manage outside counsel with respect to such matters.
- Provide legal support for all UGIES’ general management and back office operations, including governance, general litigation, credit, collection and bankruptcy, office leases and human resources matters.
- Provide legal services for UGIES' midstream and business development groups ,including advice on regulatory, permitting and land matters, drafting, negotiating and editing contracts and documents for, and developing strategies associated with asset acquisitions and asset development projects. Engage and manage outside counsel with respect to such matters.
- Provide legal services to UGI Corporation, AmeriGas and UGI International with drafting, negotiating and editing contracts for, and developing strategies concerning OTC hedging agreements and related documentation for commodity, FX and interest rate swaps. Advise on Dodd-Frank and EMIR compliance issues. Engage and manage outside counsel with respect to such matters.
Job Requirements:
- JD from an accredited Law School.
- Admission to a state legal bar.
- Satisfaction of Continuing Legal Education requirements.
- Minimum of 10 years of experience in legal practices related to the duties.
- Knowledge of federal laws regulating the natural gas pipeline industry and electric transmission industry, including the Natural Gas Act, Federal Power Act, Energy Policy Act and the Pipeline Safety Act.
- Knowledge of FERC practice and procedures.
- Knowledge of PHMSA regulations
- Knowledge of multiple state laws regulating retail natural gas and electric suppliers .
- Understanding of the operation of pipelines and gas and electric utilities and laws applicable thereto.
- Knowledge of a wide body of general law.
- General knowledge of rules of administrative agencies
- Knowledge of standard forms, and generally accepted contracting practices for natural gas, electricity and liquid fuels purchase and sales contracting, including NAESB, EEI and ISDA forms
- Oral and written communication skills, legal drafting skills and negotiating skills.
- The proven ability to apply regulatory and other legal principles to given sets of facts and to advise clients on potential outcomes and strategies.
Working Conditions:
Regular office conditions are typical. Work week is subject to change but currently requires three days in office, consisting of two days spent in King of Prussia office, one day in Wyomissing office and two days working remotely. Travel elsewhere about 10-12 days per year for various legal or regulatory matters.
