Position Summary
A General Counsel advises the Corporation concerning legal rights and obligations by providing legal support to various internal departments by performing the following job duties.
Essential Functions
- Oversee and manage all bank litigation handled by outside counsel and maintain guidelines concerning same. Review policies and procedures concerning retention of other outside bank counsel.
- Personally handles litigation of certain commercial loans to be determined by General Counsel.
- Review of legal invoices for reasonableness and development of strategies for reducing legal costs.
- Manage Asset Recovery Group in liquidation of commercial and SBA loans and provide guidance to Loan Servicing in its oversite of residential and consumer foreclosures, as requested.
- Review, revise and maintain credit and loan policies / procedures manual.
- Review and negotiate bank leases upon renewal.
- Review retail trust agreements, when necessary.
- Assist in corporate legal issues, and revise policies as requested by CEO or other senior management.
- Oversight of material changes to loan documents and loan products
- Review complaints, subpoenas, and levies in conjunction with Compliance Department.
- Attend compliance committee meetings and training, when necessary.
Job Requirements and Qualifications
- Thorough understanding of Bank's structure
- High-level analytic skills
Education and Experience
- D. Degree from an ABA Accredited Law School
- J. Bar Admission
- Ten plus years of litigation, commercial lending, banking regulation and/or corporate experience.
- Knowledge of Standard Operating Procedures for SBA liquidations.
Knowledge, Skills, and Abilities
- High-level oral and written communication skills
- Good computer skills in a Microsoft Windows environment including proficiency in Word and Excel
- Ability to calculate figures and amounts and use elementary mathematical concepts
- Ability to effectively present information and respond to inquiries
- Ability to speak and write clearly in order to effectively convey information so that others understand and as appropriate for the needs of the audience
- Ability to apply common sense understanding to carry out written and oral instructions.
- Ability to work independently with supervision
- Ability to effectively handle multiple tasks and meet deadlines
Physical Requirements
- Ability to sit for long periods of time up to 75% of work hours.
- Ability to use hands to grasp, handle or feel.
- Ability to use computer keyboard and system to enter data and process information.
- Ability to read a computer screen at a close distance.

Working Conditions
- Moderate sound as in business office with office machines, computers, and people traffic. .
