Associate Counsel

 The day-to-day:

• Reviewing, drafting and negotiating a wide range of primarily digital media and ad-tech focused commercial agreements, including insertion orders, programmatic advertising agreements, NDAs, data protection agreements, custom content agreements, SaaS agreements and other related service or license agreements.
• Advising teams about relevant legal issues and risks, approval processes, and company policies and procedures across various departments (production, advertising, influencer, events, etc.)
• Internal auditing of operational best practices and compliance with client agreements, including publisher and vendor review and audit.
• Helping improve and/or develop our standard form agreements and/or processes.
• Working on the creation, implementation and improvement of company-wide legal processes and procedures.
• Providing support for the rest of the Legal Team, as needed.

 The skills and experience you’ll bring to the role:

•  BA/BS degree and J.D. degree with admission to one or more state bars in good standing required; NY Bar admission preferred
• 1-3 years of relevant legal experience, preferably in-house or at a law firm working in media, digital media, advertising, and/or entertainment industry(ies).
• Knowledge and understanding of agency, media IOs, advertising technology agreements, IAB terms and conditions for digital advertising, service agreements, marketing, and events agreements and laws and regulations related to advertising (including disclosure requirements) is required.
• Prior experience related to intellectual property, data privacy and protection, a plus.
• A strong and demonstrated interest in the digital world, social media, and emerging technology.
• Flexibility and readiness to work on a broad variety of matters and experience in finding business-forward solutions.
