What you’ll be doing...
As Capital Markets Counsel, you will provide legal support to the Verizon Treasury department in connection with various sophisticated financing and capital markets transactions. Your responsibilities will include:
- Acting as counsel in connection with the evaluation, negotiation and execution of complex financing transactions, including U.S. and international unsecured debt transactions; liability management transactions; credit facilities; corporate guarantees; equity funding of employee benefit plans; derivatives transactions; asset-backed securities transactions; and aircraft and equipment leasing transactions.
- Managing the legal deal process, from planning and strategy through closing.
- Preparing, reviewing and drafting all transaction documents and related disclosure.
- Coordinating any necessary filings with the U.S. Securities and Exchange Commission (SEC).
- Reviewing rating agency and investor presentation materials.
- Providing legal support in connection with (i) the negotiation of renewable energy virtual power purchase agreements in order to meet Verizon’s sustainability commitments, (ii) the issuance of debt securities where the use of proceeds is tied to sustainability initiatives, such as “green bonds”, and (iii) reporting relating to such agreements and financings.
- Assisting with other strategic transactions.
- Advising the Verizon Treasury department on ongoing legal matters based on a comprehensive understanding of their business needs and informed by relevant experience, including regulatory compliance, general corporate matters, disclosure issues and contract negotiations.
- Collaborating and communicating effectively with tax, accounting, audit, sourcing, and other internal Verizon groups, as well as other experts in the legal department, to facilitate financing and capital markets transactions.
- Overseeing outside counsel.

In this hybrid role, you'll have a defined work location that includes work from home and assigned office days set by your manager.
What we’re looking for...
You’ll need to have:
- J.D. degree and six or more years of relevant work experience.
- Bar membership in good standing in at least one state.
- Three or more years of capital markets / securities experience at top law firm.
- Willingness to travel.
Even better if you have one or more of the following:
- Ability to operate with a significant level of independence.
- Ability to prioritize multiple responsibilities and process a large volume of work in a timely manner with attention to detail.
- Outstanding writing, editing and oral communication skills, adaptive to and effective for different audiences.
- Excellent interpersonal skills and ability to build and maintain relationships within an organization.
