Description and Requirements

JOB SUMMARY:



The SEC Reporting Manager is responsible for the preparation and filing of all external financial reporting documents and related SEC filings. This role includes oversight of various planning, drafting and other activities that facilitate the efficient completion of those filings, including technical accounting research and documentation.




ESSENTIAL JOB FUNCTIONS AND RESPONSIBILITIES:



  • SEC Reporting:
  • Responsible for the coordination and preparation of quarterly reports (10-Q), annual reports (10-K) and current reports (8-K) and review of other SEC periodic non-financial reports.
  • Work with 3rd party filing vendor to ensure accurate XBRL tagging and formatting is appropriate for SEC filings.
  • Coordinate with various resources and Senior Finance Management to support the earnings release process to ensure accuracy and integrity of earnings release materials.
  • Coordinate with various personnel and departments and the Disclosure Committee to collect information and input into the above referenced reports; coordinate, review and collect comments on the various drafts; prepare support files; challenge the appropriateness of disclosures; complete all relevant disclosure checklists and reporting questionnaires.
  • Support financial and SEC reporting of equity-based transactions and related compensation accounting, including the valuation methodology and related calculations.
  • Assist with month-end close and financial statement review and support Audit Committee engagement as needed.
  • Support various aspects of external auditor quarterly reviews and annual audits.
  • Monitor the development and applicability of emerging accounting and reporting rules being deliberated by the SEC, FASB, PCAOB, IASB or other governing agencies or regulators.
  • Maintain reporting timetable and monitor progress against reporting cycle milestones.
  • Identify opportunities for automation and efficient processes around SEC reporting and related activities.
  • Develop an in-depth understanding and analysis of significant transactions to assess their impact for SEC disclosure purposes.
  • Responsible for technical accounting research, documentation and implementation of related impacts.
  • Provide guidance on the adoption and implementation of new accounting standards
  • Complete disclosure checklists to ensure financial statements comply with GAAP requirements.
  • Support documentation and maintenance of Company controls, policies and procedures, where applicable.
  • Review and, where necessary, assist with the disclosures for the separate subsidiary year-end financial statements.
  • Execute responsibilities in compliance with the Company’s Sarbanes Oxley (“SOX”) internal control framework.

KNOWLEDGE, SKILLS AND ABILITIES:



  • Comprehensive understanding of GAAP and financial reporting principles

  • Familiarity with IFRS desired

  • Combination of private industry and public accounting experience

  • Strong technical accounting research skills

  • Ability to act as an advisor on professional and technical issues with a view toward reaching strategic decisions

  • Experience with XBRL tagging

  • Excellent analytical, organizational and project management skills

  • Excellent written and verbal communication skills

  • Advanced Microsoft Excel skills

  • Organized, detail-oriented, and able to multi-task with limited supervision

  • Team player with a positive attitude and a willingness to tactfully challenge or disagree when appropriate

  • Proven ability to thrive under pressure and meet tight deadlines

  • Ability to adapt quickly to a fast-paced and dynamic work environment

  • Ability to interact effectively with all levels of management and staff

  • Demonstrated ability to thrive in a collaborative work environment

  • Prior experience designing, implementing, and documenting policies and procedures in a SOX environment

  • Experience with the following systems is preferred: Oracle, Global Shares, Toppan Merrill Bridge Platform, Adaptive Planning

  • Proficiency in Microsoft Office packages is required, including strong proficiency with Excel.



EDUCATION AND TRAINING:



  • Bachelor’s degree in Accounting.


  • Ten (10) plus years of experience of progressive accounting experience.


  • Five (5) plus years of SEC reporting experience.


  • Certified Public Accountant required.


  • Public accounting experience required.


  • Technology industry experienced preferred.


  • Or equivalent combination of education and/or experience.
