What are the responsibilities and job description for the Contract Specialist, Vendor Agreements position at Vimeo?
As a Contract Specialist, you will support Vimeo’s Legal Team with the drafting, review, negotiation, and administration of Vimeo’s agreements with suppliers and vendors, and other legal matters that arise from those agreements. In this role, you will collaborate with a variety of stakeholders and manage multiple priorities concurrently.
What you’ll do:
- Independently review, draft, revise, interpret, and negotiate (under the direction of an attorney) a broad range of agreements between Vimeo and its suppliers and vendors on a daily basis, including SaaS and other technology licensing agreements, consulting agreements, statements of work, and nondisclosure agreements.
- Work with stakeholders and our procurement team to ensure that contracts are negotiated and executed in compliance with our contracting policies.
- Respond promptly to approval requests from Vimeo’s business teams and escalate issues where appropriate.
- Educate stakeholders on our policies, procedures, and negotiation playbook, and communicate issues concerning contract risks and agreement structure.
- Assist in management and maintenance of Vimeo’s standard contract clauses, templates, and processes with the goal of minimizing friction with vendors and mitigating risk for the business.
Skills and knowledge you should possess:
- 2 – 3 years of experience drafting and negotiating services agreements in an enterprise environment.
- Solid understanding of commercial contract terms (e.g., intellectual property rights, indemnification, and limitations of liability) and the ability to translate that understanding into redlines and articulate in negotiations.
- Ability to identify legal risks within contracts and present summaries in a clear and compelling manner.
- Strong written and verbal communication skills.
- Strong organizational skills, extreme attention to detail, and good judgment.
- Ability to work in a self-directed manner as well as in a team setting and manage multiple tasks at a time.
- Ability to work efficiently and effectively in a remote environment.
- Paralegal experience at a law firm or corporate legal department preferred (but not required).
