Hybrid- Monday and Friday remote, Tuesday- Thursday in office
With every other Friday off
CONTRACT TERM
6 month long contract with high likelihood of extension or conversion to a full time employee
POSITION OVERVIEW – Legal Analyst
Provide transactional support for the Downstream, Chemicals and Midstream (“DCM”) businesses’ intellectual property transactions.
RESPONSIBILITIES:
- Review, draft, revise, and negotiate a variety of technology agreements including, but not limited to the following:
- Confidentiality agreements
- Research agreements
- Technology license agreements
- Joint development agreements
- Field test agreements
- Services agreements
- Consulting agreements
- Alliance agreements, based on consultation with business partners and guidance from attorneys.
- Engage with and provide recommendations (risk analysis) to business partners, contract administrators and attorneys on counterparty’s changes to legal terms in agreements.
- Work closely with subject matter experts in tax, finance, litigation, information risk management, compliance and insurance to integrate guidance into negotiations and agreements.
- Analyze and summarize documents for review by business partners and attorneys.
- Perform legal due diligence and legal research.
- Work closely with business partners and attorneys to resolve a variety of day-to-day issues and support a broad range of intellectual property-related transactions, commercial transactions and/or projects. Recommend, develop, and implement process improvements and simplification of tasks.
REQUIRED QUALIFICATIONS/SKILLS:
- 4 years of experience drafting, revising, and negotiating a variety of agreements including confidentiality and other technology agreements.
- Paralegal certificate from an accredited program or Bachelor’s degree.
- Ability to effectively analyze and communicate legal issues and collaborate across broad functional and organizational lines (e.g., business partners, subject matter experts, attorneys and law professionals).
- Strong organizational, analytical, proofreading, editing and research skills.
- Ability to exercise good judgment and maintain-high quality performance with competing deadlines and priorities in a fast-paced work environment.
- Strong communication (both oral and written), collaboration and interpersonal skills.
- Ability to give effective feedback (both positive and constructive) and receive feedback (both positive and constructive) and act upon it.
- Self-starter who is adept at working in a team environment and partnering with management, business partners, in-house counsel, outside counsel,and staff.

PREFERRED QUALIFICATIONS:
- Prior experience as a contracts analyst, contracts specialist, or contracts manager.
- Chemistry background or degree, and/or experience supporting chemical technologies.
- Law degree from an ABA-accredited law school.
- Prior experience using Sirion Labs, Smart, or other contracting management platforms.
- Advanced skillset in Microsoft Office tools (i.e., Outlook, Word, Excel, PowerPoint, Teams, SharePoint, Forms, OneNote).
