Job Description:
As Corporate Counsel at WideOrbit, you will partner across the business to draft, negotiate, and review commercial contracts. This part time (20-25 hours per week) position provides flexibility – we will work with the candidate to determine if three days per week or five half days is best. You will report to the San Francisco based General Counsel and be a key contributor to the WideOrbit business team. If you are highly motivated, have excellent writing skills, and are capable of independently drafting and negotiating a wide range of legal agreements, including commercial, intellectual property, technology, and vendor agreements, this might be the right opportunity for you!

Here is what success will look like:
- Reviewing, negotiating, and drafting of various contractual documents, including vendor agreements, NDAs, end user software license agreements, software support agreements, professional services agreements, hosted service agreements and responses to proposals, service provider agreements
- Collaborating with various business owners and legal colleagues to develop process improvements, templates, and operational policies
- Working with Procurement to minimize spend, maximize supplier diversity, and efficiently process vendor contracts
- Assuring legal compliance and providing advice regarding legal risks associated with various business opportunities
- The ideal candidate will have IP/open-source experience and be able to work with business teams to protect and grow WideOrbit’s IP portfolio
To thrive in this role, we are looking for:
- Minimum 7 years’ legal experience in disciplines including commercial contract drafting and negotiation and intellectual property
- Minimum 2 years of experience at AMLaw 50 firm
- In-house experience is a plus
- JD or equivalent from a well-respected law school and excellent academic record
- Excellent written, verbal and interpersonal communication skills, with a keen ability to communicate and collaborate effectively throughout all levels of the organization
- Recognized subject matter expert in open source, software licensing, SaaS and/or e-commerce is preferred
Location: This position will be based in our San Francisco, CA office. Remote/Telecommute will be considered.
Pay Range (for 60% schedule): $85,000 - $104,000
