Workbox is seeking a full-time In-House Counsel. This role is key to our plans to scale our Real Estate partnership platform nationally. Reporting to the Board members, CEO and CFO, this role will also interact with other C-suite members, the Board of Directors, and our Investors. This role is perfect for someone interested in playing a pivotal role in reshaping the commercial office sector. This individual must be a self-directed builder who has a wide range of legal knowledge, but also knows how to implement a scalable infrastructure.
The three biggest aspects of this role are: 1) assessing our current entity structure, 2) facilitating rapid, national growth of non-conventional real estate transactions, and 3) advising on matters relating to our in-house venture fund, Workbox Ventures.
KEY JOB DUTIES
- Optimizing current legal entity structure, building roadmap for new entities, preparing new entity and annual filings.
- Drafting, reviewing, and negotiating various commercial contracts and agreements with members and vendors.
- Working with CEO, CFO, Venture GPs and outside counsel on fundraising organization, coordination, and documentation.
- Working with CFO to maintain the company’s cap table and employee option program in Carta.
- Ensuring compliance with all laws and regulations that apply to the business in various jurisdictions.
- Promoting legal, compliance and risk management best practices throughout the company.
- Managing and mitigating risk by designing and implementing company policies and procedures.
- Reviewing and maintaining proper insurance coverages for all lines of business.
- Create a system to ensure all legal licenses, copyrights, and corporate matters stay up to date and in good standing.
- Communicating with and managing any third parties such as external counsel or auditors.
- Staying current with changes to legislation, particularly in relation to laws, rules and regulations that directly affect our business.
- Manage all third-party legal relationships and legal budgets.
- Advising executive team on employment matters.
Requirements
- Legal degree.
- Minimum 6-8 years’ experience at a law firm or in-house.
- Ability to distill legal concepts and frameworks into actionable business concepts.
- Able to easily navigate ambiguous and complex situations.
- Extraordinary organizational skills and attention to detail.
- Ability to execute deals and distill what really matter to complete a transaction.
- In-person, Chicago based role.
PREFERRED QUALIFICATIONS
- Experience in Real Estate and/or working in a venture capital or private equity backed company.
- Experience working with Carta.
