    SUMMARY/GENERAL DESCRIPTION OF JOB:

    Under the direction of the Vice President, General Counsel (VP, GC), the Deputy General Counsel provides accurate, timely and effective legal advice and consultation to senior leadership and Chugach Alaska Corporation (CAC) departments across varying areas of focus in legal, risk and compliance areas, including policies, investments, mergers and acquisitions, contracts, records, trainings, investigations, and litigation.  Primarily focused on supporting Chugach’s corporate services departments and the Business Enterprises team.

     

    ESSENTIAL DUTIES & JOB FUNCTIONS / ACCOUNTABLE FOR:
    • Legal: Drafts legal opinions/memos, policies, resolutions, proposed legislation/regulation, audit responses, and other documents.  Reviews and interprets statutes, regulations, proposed legislation, judicial decisions, and legal opinions that may impact the company.  Provides legal counsel on M&A and investments. Monitors legal developments in applicable industries. Supports Business Enterprises in managing regulatory compliance issues, as requested.  Provides effective outside counsel management.  Reports on and recommends appropriate action to the VP, GC.  Provides legal support to the Board of Directors and Community Values Centers, such as Board reports and meeting preparation, Annual Meeting support, review and advice on shareholder stock estates.
    • Contracts and Records: Reviews and drafts contracts. Works to foresee and mitigate potential exposure to legal liability with regard to contracts.  Advises Business Enterprises on contracts, as requested.  Supports the CAC records management program, including ensuring compliance with records management policy and schedule.
    • Risk: Assists the VP, GC with overseeing the company’s risk management program, including strategy and risk identification and mitigation processes and risk transfer strategies.  
    • Compliance: Assists the VP, GC in ensuring that Chugach conducts its business operations in compliance with applicable laws, regulations, policies and the company’s Compliance and Privacy Programs. Responsible for corporate policy management, including drafting policies, coordinating and tracking compliance trainings, and periodic review of employee policies. Supports Chugach Ethics Hotline program, including ensuring enterprise postings and trainings. Manages Officer conflicts disclosure program, analyzes conflicts of interest disclosed, and provides report to executive team. Oversees company internal investigations.
    • Legal Operations: Supports the VP, GC and Legal/Risk Department staff with planning and budgeting, internal communications, legal records organization, reporting and vendor oversight.
     
    JOB REQUIREMENTS:
    MANDATORY
    • Membership in the Alaska State Bar and Juris Doctor from an accredited law school
    • Ten (10) years in the practice of corporate law inside a law firm or corporation
    • Experience and knowledge of ANCSA (Alaska Native Claims Settlement Act)
    • Understanding of rules and regulations of an Alaskan Native Corporation and related regulatory environment
    • Understanding of corporate laws related to running a complex, multi-business company
    • Experience conducting investigations and representing clients in litigation
    • Experience drafting and interpreting policies and laws

    PREFERRED

    • Three (3) years supervisory experience with multiple direct reports
    • Significant and sustained work for an ANCSA Regional or Village Corporation
    • Experience with M&A transactions, such as operational due diligence or contract drafts

     

    Knowledge Of:  Principles and practices of civil and administrative law applicable to corporate, government and commercial business operations; state, federal and local laws affecting company operations; conflict of interest principles; understanding of judicial proceedings at the administrative, trial and appellate levels; principles and practice of legal research and regulatory issues related to Alaska Native Corporation operations; supervisory techniques applicable to a professional law office or legal department; and proficiency in Microsoft Office Suite.

     

    Ability To: Demonstrate unquestioned ethics and integrity; work collaboratively with leadership; study, learn and apply knowledge of company operations at a level required to render valid and reliable legal advice; analyze, evaluate and organize facts, evidence and precedent, and communicate such materials both orally, and in clear, written form; analyze and evaluate a wide variety of legal documents and instruments; draft legal instruments such as resolutions, contracts and other legal documents; direct, motivate, train and supervise the work of assigned staff serving as a change agent when necessary; communicate both orally and in writing to varying levels of the organization; establish and maintain effective working and professional relationships with leadership and the Board of Directors, a diverse variety of staff, the legal community, and key customers and vendors; express viewpoints while maintaining an openness to others’ opinions.
