Summary

This role supports the Corporate and Commercial Transactions Group within the Legal Department. This position will research law, investigate facts, and prepare legal documents in corporate governance, real estate, finance matters and commercial creditor’s rights matters. The position will also support on M&A transactions and commercial transactions.

Key Responsibilities

• Prepare and file all Annual Report qualifications and annual consents for the parent company and certain assigned U.S. or international subsidiaries. Form new entities and merge or dissolve existing entities.
• Assist with financing deals including Bank Agreements, Private Placement Notes, Intercompany Demand Notes and Capital Contributions, KYC Responses, and Vendor Credit Letters.
• Assist with research, documentation preparation, and case management in support of company’s credit collections and bankruptcy litigation matters.
• Assist with real estate transactions including Purchase and Sale Agreements, Leases, and Amendments. Assist with due diligence, deadline tracking, and closings.
• Work with Human Resources and outside counsel to make sure all ERISA Plan requirements are met, including 1% and 5% HR Testing for Employee Shareholders.
• Co-Coordinator for Legal Tracker and COSI Insight; Backup for Service of Process distribution.
• Work in hCue Entity Management Software.
• Backup support for acquisitions, mergers and disposition projects.

3 years related experience and/or training

Computer literate with ability to utilize word processing, database, electronic filing systems, and spreadsheet software applications. Ability to prioritize and handle multiple tasks simultaneously from multiple attorneys, work under pressure and still maintain normal workflow.
