• Provide timely and practical legal advice to our portfolio companies on various matters, including (but not limited to) the following required competencies:
• Entity formation and governance - Operating Agreements, Bylaws, entity conversion, Articles of Incorporation, Board of Directors/Managers formation and ongoing management
• Venture capital and private investment structuring (SAFEs, KISSs, convertible notes, etc.)
• Securities law
• Cap Table management and equity compensation (ISOs, NQSOs, PIUs, etc.)
• Contract negotiation and review
• Regulatory compliance, terms of use, online privacy policies, etc.
• Act as liaison with outside counsel to advise portfolio companies on legal items not performed in-house, such as:
• Mergers and acquisitions
• Intellectual property protection
• Employment law
• Litigation
• Act as liaison with outside counsel to advise portfolio companies on legal items not performed in-house
• Partner closely with investment professionals to identify and mitigate legal risks for our portfolio companies.
• Develop and implement legal strategies that align with the overall business goals of both RevRoad and our portfolio companies.
• Stay up-to-date on the latest legal trends and developments relevant to the venture capital industry.
• Manage outside counsel relationships as needed.
• Draft and review legal documents, including contracts, operating agreements, and securities filings.
• Participate in due diligence processes for new investments.
• Maintain a strong understanding of RevRoad's legal and compliance requirements.
• Provide legal training and education to our internal teams as needed.

• Juris Doctor (JD) degree from an accredited law school.
• Minimum 5 years of experience as an attorney, preferably in corporate law, venture capital, or a related field.
• Proven track record of providing practical and commercially-minded legal advice to startups and emerging companies.
• Strong understanding of the venture capital ecosystem and the legal issues faced by early-stage companies.
• Excellent communication, collaboration, and interpersonal skills.
• Ability to work independently and manage multiple priorities in a fast-paced environment.
• Strong analytical and problem-solving skills.
