Job Title: Corporate Legal Secretary
Job Summary:
The Corporate Legal Secretary provides high-level administrative support to the corporate legal department, ensuring the smooth operation of legal processes and assisting with legal documentation, communication, and compliance. The role involves managing legal correspondence, maintaining legal files, and coordinating with other departments to ensure timely legal assistance.
Key Responsibilities:
Document Preparation:
Draft, revise, and format legal documents including contracts, agreements, resolutions, and corporate filings.
Prepare and file legal documents with government agencies (e.g., annual reports, corporate filings).
Maintain corporate records such as meeting minutes, resolutions, and bylaws.
Administrative Support:
Assist corporate attorneys with day-to-day tasks, including managing calendars, scheduling meetings, and arranging travel.
Organize and maintain confidential legal files, ensuring proper filing and easy retrieval.
Handle phone calls, emails, and other correspondence for the legal department.
Communication:
Serve as a point of contact between the legal department and other departments or external parties, ensuring clear communication and efficient handling of legal matters.
Coordinate with outside counsel for matters that require external legal expertise.
Corporate Governance:
Assist with corporate governance matters, including preparing materials for board meetings, shareholder meetings, and maintaining records of the proceedings.
Monitor compliance with corporate governance standards and practices.
Compliance and Research:
Research legal issues, regulations, and case law to support the legal team.
Ensure compliance with all legal procedures and corporate policies.
Other Duties:
Handle other duties as assigned, including special projects and ad hoc requests from the legal team.
Qualifications:
Education: High school diploma or equivalent (required). A degree or certification in legal studies or a related field (preferred).
Experience: Minimum of 3 years of experience as a legal secretary, preferably in a corporate legal environment.
Skills:
Proficiency in legal terminology and processes.
Excellent organizational and time-management skills.
Strong written and verbal communication skills.
High level of discretion and confidentiality.
Proficiency in Microsoft Office Suite and legal research software.
Ability to prioritize and manage multiple tasks effectively.
