About the role
The Managing Counsel position will provide leadership and counsel for Aptean’s business units in the Americas. The successful candidate will provide strategic counsel to the business unit leadership, management, and staff on matters of legal significance and compliance that contribute to the protection of the organization and achievement of the business objectives. Emphasis will be on general and specialized legal matters, including commercial business transactions, litigation, vendor management, M&A, and employment.
The Managing Counsel will report to the Vice President/General Counsel.
Day-to-day responsibilities:
- Provide timely and practical advice to the business unit leadership, management and staff on matters of legal significance within areas of assigned responsibility and general legal issues arising in the course of business
- Reviews and approves non-standard contract modifications as appropriate
- Review and approve business transactions for compliance with Federal, State and local statutes and company policies and procedures
- Maintain client focus to balance the needs of the business for profitability with ensuring the contractual terms and conditions protect the company and minimize risk
- Provide timely, effective legal advice in the drafting and negotiation of non-routine agreements relating to the purchases of services and goods
- Assist in the prevention of disputes and litigation by proactive, early engagement in the business process
- Support outside counsel in civil litigation and commercial disputes
- Coordinate with other departments regarding acquisitions, divestitures, tax matters, intellectual property, environmental and other overarching projects
- Take a hands-on approach to matters and issues using tactful and effective negotiation skills, articulate written and oral communications and current communications technologies
About you:
- Education:
- JD from an ABA accredited law school and a state bar membership
- Required Skills:
- 8-10 years of relevant commercial transactional experience
- 5 years of experience managing legal matters and managing litigation matters and close interactions with outside counsel
- Preferred Qualifications:
- Superior verbal, written, and communication skills
- Team player with a “roll up your sleeves” attitude
- The ability and interpersonal skills to work in and foster a collaborative environment at all levels
- Experience in the software industry
- A combination of law firm and in-house company experience
- Strong work ethic and demonstrated ability to manage a high-volume workload with minimal supervision
