About the role
We’re looking for an innovative, high performing Tax Director/VP of Tax to be part of the Finance leadership team and lead the tax function in our high-growth, multi-jurisdictional, acquisitive, private equity-owned software company. In this highly strategic role you will be responsible for tax planning, compliance, risk management, transaction support, special projects, and accounting for taxes and will provide strategic tax leadership and execution of Aptean’s global tax strategies.
Reporting to the Senior Vice President & Global Controller, the position has overall responsibility for managing the worldwide tax function in a fast-paced environment. This role will manage other staff roles and the strategic third-party advisors while taking a hands-on approach in all aspects.
The Tax Director’s primary responsibility is to guide tax strategy and ensure compliance for the global business. The Tax Director is charged with applying knowledge to understand potential tax issues, recognizing and communicating potential risks and regulatory changes, and making top-level tax policy and process decisions across the multiple jurisdictions in which the Company does business. The Tax Director will have ownership of the worldwide tax provision and accounting for taxes, overseeing both domestic and international tax functions.
What You Will Be Doing
Tax Compliance:
- Oversee and manage worldwide tax compliance activities, including the preparation and filing of international, federal, state, and local tax returns including income tax, estimated payments, and extensions. Manage external service providers, contractors, and other advisors to help complete these requirements.
- Ensure timely and accurate reporting of tax liabilities, payments, and filings.
- Stay updated on changes in tax laws and regulations to advise on the impact and ensure the company's compliance, specifically in US, Canada, India, UK, Germany, Austria, Denmark, Belgium, Sweden, France, Italy, Spain, Netherlands, Poland, and Australia.
- Oversee all aspects of indirect tax compliance and accounting, including but not limited to, sales and use tax, GST, provincial sales taxes, VAT, property taxes, gross receipts and business licenses, unclaimed property, and payroll taxes. Oversee operational technology and executing on opportunities to make automation improvements.
Tax Planning and Strategy:
- Develop and implement tax planning strategies to minimize the company's overall tax burden while maintaining compliance with applicable laws and regulations.
- Identify opportunities for tax savings and efficiencies through careful analysis of the company's operations and structure.
- Manage the worldwide transfer pricing process and maintain up to date inter-company documents and agreements that reflect the intent and financial purpose behind each agreement.
- Establish global tax policies and procedures by collaborating with the business to determine the most tax efficient manner to repatriate cash, reduce the current tax liability, minimize withholding taxes, and lower the effective tax rate.
- Support tax-related M&A due diligence and structuring which is primarily handled by our business development team and outside advisors.
- Identify and execute on tax and other government incentives that may be available to the Company and its employees throughout domestic and global operations, particularly for research and development activities.
- Assist with Corporate initiatives as needed, including due diligence, transaction support, reorganizations, dissolutions, integration of acquired targets, and other special projects.
- Serve as a subject matter expert and collaborate cross-functionally with Finance, Legal, Go-to-Market, and other business functions on the tax implications related to strategic initiatives, customer/vendor transactions, M&A, and international expansion.
Risk Management:
- Assess and mitigate tax risks associated with the company's business activities.
- Implement controls and processes to ensure the accuracy and integrity of tax reporting and compliance.
- Establish and update tax-planning models to forecast the utilization of tax attributes, changes in tax positions and other opportunities.
- Manage the integration of acquired worldwide entities. Support the purchase valuation for intangible assets, goodwill, and tax allocations. Develop the tactical step plans to implement post-acquisition structure and processes.
Tax Reporting and Financial Analysis:
- Manage all aspects of financial reporting for income taxes (ASC 740), including income statement, balance sheet, statement of cash flows, uncertain tax positions (FIN 48) and financial statement tax disclosures.
- Oversee required tax reporting to tax authorities and private equity owners.
- Provide tax-related financial analysis and insights to support decision-making by senior management and other stakeholders.
Tax Audits and Controversies:
- Manage worldwide tax audits and inquiries from tax authorities, including responding to requests for information and assisting in settlement discussions. Work with external advisors, legal counsel, and auditors as needed to address such tax matters.
Team Leadership and Development:
- Lead and develop a team of tax professionals, providing guidance, coaching, and mentorship to foster their growth and professional development.
- Foster a culture of collaboration, innovation, and continuous improvement within the Finance department. Build and maintain solid working relationships with internal partners and peers, and external consultants and statutory auditors.
About you
- 10-12 years of tax management experience
- Certified Public Accounting (JD or Masters in Tax preferred)
- Technology industry experience (software company experience preferred)
- Experience with multi-national organizations
- Experience with Pillar 2 reporting
- Significant experience with accounting for income taxes (ASC 740)
- Experience with private equity-owned companies preferred
- Experience with integration of acquired entities preferred
