COUNSEL
JOB SUMMARY: Under direction of General Counsel and Vice President of Administration, will advise and counsel on a broad range of the legal activities, including commercial contract negotiation, human resources issues, insurance and regulatory compliance.
REPORTS TO: General Counsel and Vice President of Administration (GC)
ESSENTIAL DUTIES:
*With direction from GC, responsible for administering the company's contractual relationships, including the drafting, negotiations, and oversight of agreements concerning business transactions, real estate transactions, sales agreements, employment agreements, confidentiality and non-disclosure agreements, etc.
*Assists the GC in the annual insurance program including the review and selection of specific insurance companies.
*Responsible for staying aware of changing regulations, both domestic and international; participate in industry activities to insure that the company stays in compliance with applicable laws and regulations and is knowledgeable of prevailing trends that may influence the company's decision-making.
*Maintains a database of all commercial contracts for corporate access.
*Assists the Sales Management organization in the preparation and review of the Sales Representative and Distributor contracts.
*Assists excitation project coordinators to ensure compliance with contractual obligations to limit risks and satisfy customers.
*Reviews and negotiates customers Code of Conduct and Ethics Policy documentation to determine acceptance and maintains records of such.
*Maintains both purchasing and sales standard terms and conditions for all domestic and international locations.
*Along with support and oversight from GC, acts as a risk manager within the company.
*Responsible for special projects and other duties as assigned.
REQUIREMENTS:
*Law degree and admitted to practice and in good standing in either IL or CO.
*Minimum of 3 years’ experience preferred in one or more of the following substantive areas of law: corporate law, commercial law, real estate, employment law, cyber/privacy or litigation; however, qualified candidates with fewer years of experience will be considered.
*Strong writing and communication skills.
*Ability to juggle and prioritize multiple projects with competing deadlines.
*Strong desire to learn new areas of law.
