This NOTICE AT COLLECTION AND PRIVACY POLICY FOR CALIFORNIA RESIDENTS supplements the information contained in the Consumer Privacy Disclosure of Banco Bilbao Vizcaya Argentaria, ( BBVA ) and each of the following affiliates of BBVA Banco Bilbao Vizcaya Argentaria, New York Branch;

Personal Information does not include :

  • Publicly available information from government records.
  • De-identified or aggregate consumer information.
  • Other information to the extent excluded from the CCPA / CPRA's scope, such as : Personal Information covered by certain sector-specific privacy laws, including the Fair Credit Reporting Act (FCRA), the Gramm-Leach-Bliley Act (GLBA), the Family Educational Rights and Privacy Act, or California Financial Information Privacy Act (CalFIPA), and the Driver's Privacy Protection Act of 1994;
  • health or medical information that constitutes clinical trial data or that is otherwise covered by the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the Health Information Technology for Economic and Clinical Health Act (HITECH), or the California Confidentiality of Medical Information Act (CMIA);

Sources of Personal Information

With respect to each of the categories of Personal Information listed in the table above, we obtain such Personal Information from a variety of sources, including from :

  • our customers and consumers, with respect to both online and offline interactions they may have with us or our service providers, and other entities with whom you transact;
  • In the event that our customers provide beneficial owners' personal information, it will be the responsibility of that customer to communicate the contents of this notice at collection to them.

We may otherwise limit our response to your request as permitted under applicable law.

Whenever feasible, we will match the identifying information provided by you to the Personal Information we maintain, or use a third-party identity verification service that complies with the CCPA / CPRA.

However, if we cannot verify your identity from the Personal Information that we maintain, we may request additional information from you, including, inter alia, that you submit a signed declaration under penalty of perjury that you are the consumer whose personal information is the subject of your request.

Any additional information so submitted shall only be used for the purposes of verifying your identity.

If we have a good faith, reasonable, and documented belief that a consumer request made by you or on your behalf by an agent is fraudulent or abusive, we may deny the request.

In such an event, we will inform you of the denial and provide an explanation.

Response Timing and Format

We endeavor to respond to a verifiable consumer request within 45 calendar days of its receipt. If we require more time (up to 90 calendar days), we will inform you of the reason and extension period in writing.

For data portability requests, we will select a format to provide your Personal Information that is readily usable and should allow you to transmit the information from one entity to another entity without hindrance.

1. Summary of Responsibilities :

Support the efforts of the US Loan Syndicate & Sales team ( LS&S ), which focuses on the arranging, underwriting, distribution and trading of syndicated loans in the primary and secondary markets, focused on US Corporate Loans, Project Finance and Infrastructure, and Real Estate.

In addition, LS&S supports teams responsible for the origination, structuring and negotiation of syndicated loans and other credit and portfolio management functions.

This role is critical in the continued development of BBVA as an active Lead Arranger and Bookrunner on loan transactions in the US market.

LS&S, in its Syndicate role, is an analytical and advisory function facilitating information flow and decision making regarding the marketability of loans.

Loan Syndicate analyzes the loan markets, evaluates financing proposals and recommends terms, conditions, and distribution strategies.

For loan underwritings, Loan Syndicate manages Loan Market Risk, evaluates underwriting proposals, recommends and executes approved de-risking strategies.

In each case, Loan Syndicate provides a situation appropriate market risk analysis (the Loan Underwriting Assessment), including supporting data, liquidity analysis, comparable transaction analysis, an analysis of prevailing market conditions, risk mitigation strategies and distribution options for achieving BBVA’s Sell-Down Target.

The LUA is presented to the Loan Underwriting Committee and, if sanctioned, presented for final approval to Global Risk Management under the Loan Underwriting Framework.

Loan Syndicate monitors all underwritings and records them in the Open Position Report.

In its Sales role, LS&S acts as primary contact point between BBVA and the loan investor universe, including regional, national and foreign banks and institutional investors (asset managers, CLOs, retail funds, fincos, BDCs, insurance companies, hedge funds, etc ).

Responsibility includes primary distribution of loans when BBVA acts as Lead Arranger and Bookrunner, including for corporate investment grade, Project Finance and Infrastructure, and Real Estate.

In addition, the team works closely with Loan Trading & Portfolio Management on secondary opportunities to source or divest loans for the bank’s portfolios.

As well, the team assists relationship managers in sourcing primary and secondary loans that can enhance the Bank’s position with its client base and provide an entry point for prospective clients.

The position requires knowledge of the corporate loan market (investment and non-investment grade as well as leveraged finance and middle market), the structured aka project finance and infrastructure sectors, real estate and other sectors in which BBVA is active across the Americas.

The general responsibilities for the role include but are not limited to the following :

  • researching and monitoring market trends,
  • reviewing information memoranda, proposals and presentations, prepare new business committee memos and Underwriting proposals
  • maintaining database of loan comparables and ongoing assessment of pricing trends
  • maintain working database of investors and ongoing contact with said investors,
  • supporting the organization and management of bank meetings and marketing events, including the preparation of the necessary marketing materials
  • during distribution phases of syndications, help research and answer investor questions, prepare syndication trackers and update reports

2. List Major / Essential Job Duties :

  • Maintain deal pipeline to ensure accurate reporting of all activity and especially open underwriting positions
  • Monitor market trends, utilizing internal and external resources for the preparation of pricing analyses and reports
  • Assist in the preparation of underwriting proposals, involving detailed market analysis
  • Prepare loan market commentary & analysis distributed internally on a periodic basis, ie. weekly, monthly, etc.
  • Help prepare & review information memoranda, bank meeting presentations and marketing materials related to the execution of transactions in the market, identify investors for transactions where BBVA is Lead Arranger and Bookrunner
  • Assist in loan investor coverage, including banks and institutional investors and management of the activity in Debt Domain
  • Work with Loan Trading and Portfolio Management on optimizing secondary loan execution for the various portfolio books within BBVA
  • Assist senior team members with pricing feedback on client loans and loans in workout
  • Regulatory and compliance obligations including proper documentation of all trades, etc.
  • Monitor & support the closing of loan trades by BBVA’s Closing teams as needed

3. Level of Complexity and Risk Involved :

Moderate level of complexity. Key component of the Syndicated Finance value chain. Actively involved in helping to structure, price, and ultimately sell arranged or underwritten loans for the Bank.

4. Skills, knowledge, and abilities / competencies :

  • Degree in Economics, Accounting, Finance or related field
  • 4 years of experience including roles in either loan syndicate or syndicated finance
  • Knowledge of mid corporate and leveraged finance, project and infrastructure finance, and real estate loan markets a plus
  • Strong understanding of financial statement analysis, financial modeling and DCF analysis
  • Excellent English written and verbal communication skills. Spanish a plus.
  • Excellent written and verbal presentation skills required
  • Ability to work in a team environment and under tight deadlines
  • Proficient in Excel and Power Point, Bloomberg, other market research tools
