The San Francisco office of Chapman and Cutler LLP seeks a Finance Paralegal to join its finance-focused practice. This individual will be responsible for handling a variety of projects intended to assist attorneys in negotiating and closing a variety of financial transactions. Candidates with transactional paralegal experience are encouraged to apply. We are also open to hiring and training a bright, motivated individual interested in learning about our practice and working on teams dedicated to providing excellent client service. Individuals who are looking to experience work in a law or professional services firm environment and who can commit to a minimum of two years of work with the Firm prior to attending law school are encouraged to apply. The position requires an in-office presence but includes flexibility for some remote work.
Primary duties and responsibilities will include but are not limited to the following:
* Providing direct support for financial transaction closings by
o Drafting and maintaining a closing checklist
o Ordering and reviewing corporate records, title, lien and litigation searches and summarizing findings for review by attorneys
o Distributing, receiving, reviewing, and inventorying drafts of transaction documents and other due diligence materials
o Drafting basic closing documents such as resolutions, closing certificates, etc. and first drafts of primary transaction documents
o Reviewing contracts and other materials and summarizing findings on specific questions
o Preparing and distributing signature pages and closing sets
* Drafting and filing UCC financing statements
* Research in document management systems and online to find precedent documents, reports, legal memos, legislative materials, etc.
* Set up, organize, and maintain materials in online data rooms and databases
* Effectively communicate findings to and follow instructions from a diverse group of clients, attorneys and staff and provide information in person or by phone with courtesy and tact
* Establish positive working relationships with coworkers; show initiative in seeking additional tasks to maintain steady workload
Minimum qualifications are as follows:
- Bachelor's degree
- Interest in financial transactions and strong interpersonal, analytical, research and writing skills
- Commitment to client service
- Attention to detail (as evidenced by excellent grammar, spelling, typing, and proofreading) and the ability to work independently are critical
- Successful candidates will project professional presence, demonstrate flexibility in work situations, and be willing to accept constructive feedback
- Ability to work well under pressure while managing deadlines and multiple projects
- Demonstrated facility with Excel, Word and other document management programs is a plus
- Committed to following all Firm policies and information security protocols
