Corporate Paralegal – Venture Capital and Corporate Governance
Seeking an experienced Corporate Paralegal to join our dynamic legal team in Chapel Hill, NC. This role is essential for supporting venture capital financings, mergers and acquisitions, and the management of corporate governance for a variety of business entities.
The ideal candidate will have a robust understanding of complex transactions and expertise in using online equity management platforms such as Carta and Pulley.
Key Responsibilities:
- Assist in the formation, maintenance, and dissolution of corporations, limited liability companies, limited partnerships, and other business entities.
- Engage actively in all phases of venture capital financings, mergers, and acquisitions, including coordination of all related pre- and post-closing documents.
- Manage all aspects of stock issuance and stock plan administration, including the preparation of stock option agreements, stock purchase agreements, stock transfer agreements, and stock certificates.
- Serve as a key liaison with ongoing clients regarding the maintenance of stock records and corporate records, providing additional corporate maintenance as necessary.
- Prepare and file articles, certificates, organizational documents, agreements, resolutions, and applications related to the incorporation/formation of corporations, partnerships, limited liability companies, and the financing and mergers and acquisitions.
- Handle various federal and state regulatory filings, including applications for licenses to operate specific businesses (e.g., liquor, vehicles), annual reports, and foreign qualifications.
- Facilitate ongoing corporate matters, including preparing resolutions and minutes of directors’ and shareholders’ meetings, and other miscellaneous corporate documents.
- Function as a transfer agent in maintaining the capitalization table and ledgers of companies, using online equity management platforms such as Carta and Pulley.
- Draft and submit filings under federal securities and state blue sky laws, including Form D with the SEC and state-specific filings; conduct research and prepare blue sky memorandum.
- Administer liquidations, dissolutions, and withdrawals, including preparing resolutions of liquidation or dissolution; preparing and filing articles of dissolution or other required state forms to effect dissolution; preparing and filing state and federal tax liquidation or dissolution or withdrawal forms; and preparing documents in connection with the distribution of corporate assets.
Qualifications:
- Bachelor’s degree or equivalent experience in a related field.
- Minimum of 5 years of experience as a corporate paralegal, with a focus on venture capital, mergers and acquisitions, and corporate governance.
- Proficiency with online equity management tools such as Carta and Pulley.
- Excellent organizational skills and attention to detail.
- Strong communication skills and the ability to manage multiple tasks efficiently in a fast-paced environment.
- Commitment to maintaining confidentiality and handling sensitive information with discretion.
Salary : $60,000 - $95,000
