What are the responsibilities and job description for the Corporate Counsel position at Gavilon?
Job Summary:
Responsible for contract review, drafting and negotiation, legal research, and other matters as required by the Legal Department. Counsel provides company management and commercial teams with effective advice on transactions and company strategies and oversees the work of outside counsel. This role is directly involved in business transactions and negotiating critical contracts. Counsel will work with Contract Administrators and may also work on various other legal and compliance matters as required.
Your role in our network:
- Skillfully negotiate various business and commodity-related agreements, including purchase/sale, storage and handling, service agreements, leases, non-disclosure agreements, IT agreements and other similar agreements.
- Provide practical legal counsel and develop creative solutions to resolve issues.
- Efficiently manage a large volume and variety of transactions, negotiating numerous complex deals simultaneously while balancing appropriate legal and business risks.
- Assess potential risks, benefits and consequences of decisions, present alternatives and propose solutions to achieve business objectives while effectively managing legal and practical business considerations.
- Assist in corporate governance functions.
- Work with and provide advice to executives and commercial teams.
- Interface directly with third parties, customers and vendors.
- Assist in the management and evaluation of outside counsel as needed.
Other Job Functions:
- Support other legal department functions as appropriate, which may include litigation and dispute management support, and real estate, M&A, and compliance matters.
Who are we looking for?
- Ability to work and interact well with others.
- Law degree and bar admission required.
- 3 to 10 years’ experience, preferably with some experience in a law firm environment.
- Experience with contract review, drafting and negotiation.
- Experience working with other attorneys and support staff and/or experience with cost-effective management of outside legal resources.
