Essential Functions: 

The corporate paralegal will have several key responsibilities in the fulfillment of their duties including:

 

Responsible for contract management systems including: 

  • Assist with research and implementation of a new Contract Lifecycle Management (CLM) system.
  • Properly catalog and input specified data points of new and legacy contracts into CLM system.
  • Maintain and update contracts within CLM System.

 

Ownership of legal documents including:

  • Draft a wide range of legal and general corporate documents, including forms, correspondence, contracts and demands.
  • Produce initial Contract redlines and summarize contracts, regulations, and laws for executive review.
  • Systematically organize and maintain files for multiple business areas, ensuring efficient retrieval and management.
  • Review and prepare written summaries of regulations or legislative bills.
  • Occasionally conduct thorough regulatory research.
  • Handle pipeline of all legal business including intake and distribution of correspondence, be the initial point of contact for legal department, and occasionally handle legal scheduling.

 

Engage in support of executives and general counsel:

  • Conduct specialized legal research pertaining to Contracts, marketing, privacy, Cybersecurity,

         Telephone Consumer Protection Act (TCPA) as well as other legal topics, as needed. 

  • Analyze and synthesize legal information to assist general counsel in strategy and preparation.
  • Support executives in meeting preparations, tailoring support to the specifics of the business needs.
  • Collaborates with sales staff to review revisions requested by customer(s) to Company’s agreement.  
  • Conduct initial review of incoming form contracts.
  • Be initial point of contact for incoming contract review.
  • Research, review, and prepare draft written responses for claims from third-party or government agencies, as needed.
  • May be asked to gather legal information or confer with personnel in other departments and outside the organization while performing research or other legal responsibilities.
  • Assists general counsel with complex research, subject and topic research and briefings of Contracts, Regulations, and compliance protocols.

 

 Maintaining legal related processes, compliance and deadlines including:

  • Maintains statistical and documented information related to Contracts and timeline issues. Works with appropriate departments/functions within the Company to ensure implementation of policies or actions when necessary. 
  • Monitor deadlines across all matters and maintain the calendar to ensure no deadlines are missed.
  • Ensure compliance with corporate policies and procedures, including the signing authority policy.
  • Facilitate the meeting of deadlines by keeping multiple agendas and provide timely reminders to sales/development team members.
  • Assists in implementation of Legal related processes and technologies.


Experience and Qualifications:

The successful corporate paralegal will possess the following:

  • At least 2 years contract management experience.
  • Experience in a corporate legal department or law firm setting focused on contract management, contract review and/or regulatory compliance.
  • Exceptional organizational skills, with a high level of professional discretion.
  • Ability to handle high volumes of work in a dynamic environment.
  • High level of proficiency in Microsoft Office Suite and experience with legal document management systems and reporting tools in a    corporate setting. 
  • Exceptional analytical, negotiation and critical thinking skills, including possessing a high level of verbal and written communication skills. 
  • Ability to work independently and collaborate effectively with cross-functional teams.

 

Education and Training

A Corporate Paralegal typically needs an ABA-approved paralegal certificate from an associate degree or proprietary school program in paralegal studies, and/or a bachelor’s degree preferred.
