About:
An AmLaw 40 firm is seeking a senior project finance associate/counsel to join its market-leading Energy & Infrastructure practice in New York City.
The Law360-ranked Project Finance practice represents clients in renewable energy, oil and gas and electric power, including sponsors, lenders, borrowers, equity investors, lessors, governments and more. The professionals in practice advise on all types of debt and equity transactions, including equity placements, tax equity financings, nonrecourse construction and term debt, lease financings, taxable and tax-exempt debt, private offerings, private placements and Rule 144A offerings.
Experience:
- Attorneys must have 6 years of experience in the areas of energy and/or infrastructure-focused project finance work, relating to renewables, power, oil & gas and/or infrastructure, with significant experience in complex project finance transactions and other energy-related leveraged financing transactions.
- Additional experience on complicated financing transactions that involve multiple creditors and capital providers (even if not energy-related), would be highly beneficial.
- Candidates who have a background on a broad range of project financing solutions, including commercial bank facilities, bridge and term loan Bs, taxable and tax-exempt U.S. private placements and 144A bonds are ideal.
- Experience with construction financing, holdco financing, and refinancing experience, and experience negotiating and documenting intercreditor terms are a plus.
Responsibilities:
- The attorney will be responsible for structuring, negotiating, and documenting closing mechanics for bilateral and syndicated corporate loan.
- Acquisition financing facilities, securitization, and other structured finance products.
- Asset finance for various asset classes, private debt placements and project finance facilities.
- Drafting of legal research and papers for client advice and/or wider publication.
- Drafting and negotiating loan facility (senior and mezzanine), security, intercreditor and ancillary documents.
- Preparing facility documentation, negotiating, and advising on leveraged acquisition finance transactions.
- Project managing transactional work and working with other practice areas.
