Position Summary
ITT Inc. is seeking an Assistant General Counsel for its global Industrial Process business unit, to provide legal counsel and guidance on a variety of matters and initiatives. The ideal candidate will have 10 years of experience practicing law, including some time in a corporate setting. This is a nationwide search, and this position can be remote, hybrid, or in an Industrial Process or other ITT office across the U.S. The Industrial Process business is headquartered in Seneca Falls, NY. This position reports to the General Counsel, Industrial Process.
Essential Responsibilities
- Prepare, negotiate and revise a wide range of commercial and other agreements, including global supply and related agreements, freight forwarding, customs brokers, software and MSAs, distribution agreements, car leases and tax, service, license or other intercompany agreements
- Draft, review, negotiate and revise real estate leases, amendments and related agreements (terminations, default notices, guarantees) for global sites and advise management across the business and functions
- Support and/or lead resolution of all forms of disputes through negotiation, arbitration, mediation and/or litigation, assess intellectual property and potential violations; document production and review where necessary
- Support as needed on labor & employment matters
- Support merger/acquisition/divestment activities of the business
- Ensure coordination with headquarters paralegal on corporate governance matters, including subsidiary documentation, regulatory registrations, and other maintenance of legal entities for the business
- Provide day-to-day legal counsel to the businesses
- Ensure regulatory compliance and risk mitigation throughout the business
- Manage outside counsel across a broad spectrum of legal issues
- Act as trusted advisor and business enabler
Position Requirements
- JD with a minimum of ten years of experience practicing law, law firm experience as well as in-house corporate experience is preferred.
- A willingness to learn and dive into the details is required.
- Highly motivated with excellent interpersonal and communications skills.
- Experience negotiating a wide range of contracts is required.
- Maturity and ability to function independently.
- Experience in an industrial or multi-industrial manufacturing company is a plus.
- Experience with supply chain, mergers and acquisitions, intellectual property, and/or employment law are a plus.
- Member of the bar of at least one US state.
