Job Details
Responsibilities:
- Conducting legal research and analysis on various M&A transactions
- Drafting and reviewing legal documents, including contracts, agreements, and disclosure statements
- Assisting senior attorneys in negotiating and closing M&A deals
- Advising clients on legal matters related to corporate governance, regulatory compliance, and securities laws
- Collaborating with other departments, such as finance and tax, to ensure smooth execution of M&A transactions
- Communicating with clients, opposing counsel, and regulatory agencies on legal matters related to M&A transactions
- Managing and mentoring junior associates and paralegals on M&A transactions
Qualifications:
- Juris Doctor degree from an accredited law school
- Admission to the state bar and in good standing
- 5-7 years of experience as a corporate associate attorney with a focus on M&A transactions
- Strong understanding of corporate governance, securities laws, and regulatory compliance
- Experience in government law and regulatory agencies is a plus
- Excellent analytical, communication, and negotiation skills
- Ability to work independently and as part of a team in a fast-paced environment
- Strong attention to detail and ability to manage multiple projects simultaneously
