LightEdge is looking for a skilled commercial attorney to review, draft, and negotiate a wide range of agreements. We are looking for someone with initiative and drive who can support the legal aspects of the entire contract lifecycle, including data privacy. The Commercial Counsel will report directly to the VP of Legal Affairs.
\n- Act as the main legal point of contact for all commercial agreements and certain other legal matters for the company.
- Structure, draft and negotiate commercial transactions, on a daily basis including master services agreement, IaaS/ PaaS/ SaaS arrangements, strategic partnership agreements, data processing agreements, and statements of works.
- Support company’s procurement function with legal review of all vendor agreements, including goods and services agreements, managed services provider or reseller agreements, consulting agreements, leases and professional services agreements.
- Promptly respond to legal requests from internal clients, conduct exhaustive research and provide comprehensive legal analysis on various issues and agreements including commercial transactions, data privacy and intellectual property issues.
- Actively seek ways to improve internal contract templates, contract review and negotiation process, and maintain a repository of all internal and external contracts. Experience with Contract Lifecycle Management software is a plus.
- Understand the company’s business, product catalog, and operations, including its policies, processes, and systems.
- Partner effectively with all business functions (including sales, finance, compliance, operations, facilities, marketing, HR) across the company and external parties to bring contracts to closure in a timely manner, identify business risks associated with commercial terms and provide suitable contractual protections for the company.
- Assume additional responsibilities as requested.
- Law degree from accredited university or college and at least one active bar membership/license to practice law in any State
- 2-3 years law firm or in-house experience reviewing, drafting and negotiating a wide range of commercial agreements especially in technology and data privacy law.
- Strong desire to take initiative and work independently, when needed, to problem-solve effectively
- Organized, responsive and extremely detail-oriented with the ability to apply strong analytical and creative problem-solving skills to legal, business, and operational issues
- Great attitude, Ability to build trusting relationships with stakeholders at various levels across the organization
