In-House Corporate Legal Counsel/Assistant General Counsel

Overview:

Our client is currently seeking a dynamic and dedicated in-house Corporate Counsel or Assistant General Counsel to join their team. This is an opportunity to work with a growing industrial rental business. The ideal candidate will collaborate with the executive team and operations to provide strategic legal counsel and support, ensuring compliance with regulatory requirements and mitigating legal risks. Focusing on commercial contracts, corporate governance, and regulatory matters, the successful candidate will play a pivotal role in driving business objectives while safeguarding the client's legal interests. This position presents a unique opportunity to contribute to the growth and success of this growing company within a fast-paced and collaborative environment.

Responsibilities:

1. Draft, review, negotiate, and manage a wide range of contracts and agreements, including, but not limited to, master service agreements, purchase orders, vendor contracts, and licensing agreements.

2. Provide legal advice and guidance on corporate governance matters, ensuring compliance with relevant regulations and internal policies.

3. Collaborate closely with operational teams to safeguard the company's interests and facilitate its success.

4. Engage in executive team leadership meetings.

5. Oversee all aspects of licensing including, but not limited to, business and contractor licenses to ensure company compliance.

6. Develop and implement compliance programs and policies to ensure adherence to applicable laws and regulations.

7. Assist in investigations and litigation matters, including overseeing external counsel, conducting investigations, and preparing legal strategies.

8. Collaborate with cross-functional teams, including finance, human resources, and operations, to address legal issues and achieve business objectives.

9. Stay updated on changes in relevant laws, regulations, and industry best practices to proactively advise the organization on potential impacts.

10. Train and educate internal stakeholders on legal matters, compliance requirements, and risk management strategies.

11. Maintain accurate and organized legal documentation and records.

Qualifications:

1. Juris Doctor (J.R.) degree from an accredited law school and active membership in good standing with the relevant state bar association.

2. Minimum of 2-5 years of experience practicing law, preferably in a corporate legal department or law firm with a focus on contracts, risk management, compliance, and litigation.

3. Strong understanding of contract law, corporate governance principles, regulatory compliance, and litigation procedures.

4. Excellent negotiation, drafting, and communication skills, with the ability to convey complex legal concepts in a clear and concise manner.

5. Proven ability to work independently, prioritize tasks, and manage multiple projects simultaneously in a fast-paced environment.

6. Sound judgement, analytical thinking, and problem-solving abilities, with a proactive and solutions-oriented approach,

7. High level of integrity, professionalism, and confidentiality.

8. Experience working with cross-functional teams and collaborating effectively with internal and external stakeholders.

9. Additional certifications or training in relevant areas of law or compliance are a plus.
