General Summary:
Mood Media is seeking a business-oriented, multidisciplinary in-house counsel to join our team, focusing on global corporate, HR, commercial, tax, commercial and finance support. The primary focus is to advise on US and international corporate matters, engage in support of the global HR organization, engage in review of commercial sales, procurement matters, software licensing and general transactional support to stakeholders such as finance, tax, operations, and others.
The Corporate Counsel will help ensure timely, knowledgeable, economically efficient and high-quality legal support for Mood’s business, with a primary focus on corporate matters, HR, compliance, and support commercial transactions for the sale, lease and distribution of Mood’s products and services as well as software licensing and other procurement matters. Corporate Counsel is directly involved in complex business matters, reports to the general counsel and is expected to be an experienced corporate generalist. Corporate Counsel is responsible for leading corporate strategic and tactical legal initiatives while engaging as primary counsel to HR, Sales, procurement, Finance and Tax groups and performing other legal responsibilities as may be requested.
How You Will Make a Difference:
Carry out, in a hands-on fashion, all activities associated with domestic and international corporate matters, including day-to-day issues, transactions, due diligence, and post-acquisition integration planning and activities
Carry out corporate governance initiatives in view of legal and regulatory compliance and best practices while administering domestic and international legal entity matters while ensuring compliance with applicable laws and regulations
Provide legal advice and guidance to business leaders on matters of corporate law. Advise leaders to mitigate risk. Provide legal support for corporate restructuring projects and initiatives for International Tax, Treasury, Corporate Accounting, and Mergers & Acquisitions. Advise, draft, and negotiate Intercompany agreements
Provide legal advice and support human resources and management on day-to-day employee relations matters and compliance, including recruiting, hiring, and compensation; employee discipline, performance management, terminations, and restructurings; anti-discrimination, harassment prevention, and non-retaliation; federal and state wage-hour compliance; leaves of absence and workplace accommodations; and internal investigations of potential violations of company policy
Minimize legal exposure by proactively reviewing existing practices, forms, contracts, and policies regarding employment matters, while considering business objectives and practicalities
Manage pre-litigation claims, settlement negotiations and mediations, and federal and state litigation, including management of outside counsel where support is needed
Develop training materials and provide training on employment law issues and employment-related policies and practices to human resources professionals and other employees
Build strategic partnerships with internal and external stakeholders to better support the business with their legal needs and minimizing risk for the company
Possess a multidisciplinary legal background, the ability to communicate effectively while providing legal advice and support across a spectrum of corporate matters based on the applicant’s substantive experience;
Stay up to date on new legal and company policies, regulations, trends, and procedures within the Corporate Governance environment to better support the business.
Educational/ Position Requirements:
- 5 years of experience as attorney at reputable law firm or combination of reputable law firm and in-house counsel experience
- Juris Doctor (“JD”) degree from a highly reputable, ABA-accredited law school
- Admitted to practice law and in good standing in at least one state/jurisdiction
- A bar admission in the state of residence
- Admitted to practice law in the US and in good standing with the following state bars: Washington, North Carolina, Indiana, South Carolina and Texas
- Strong general corporate background; international experience a strong plus
- Ability to work quickly and accurately under pressure and time constraints
- Demonstrated critical thinking and analytical skills are required; ability to apply systems knowledge to troubleshoot and analyze new issues is critical
- Must be a self-starter, able to work independently with a proactive working style
- Experience with providing legal advice through effective use of legal writing
- Ability to convey a positive, can-do attitude
- Ability to work well under pressure
- Strong analytical skills, and superior judgment and decision-making skills
- Experience working with international teams and cross border experience a plus
- Experience in corporate, HR and finance matters required
- Experience working on software and media licensing is a plus
- Experience with cost-effective management of outside legal resources is a plus
Special Physical and/or Mental Requirements:
Travel by air and overnight, as required but not more than 20% amount of time.
Lifting and/or bending, lifting 10 lbs of weight.
