A career in Office of General Counsel, within Internal Firm Services, will provide you with the opportunity to be a part of the Firm's legal department by providing dedicated legal support in the areas of litigation, counselling, and corporate, commercial, and employment law. You'll play an important part in all aspects of regulatory proceedings involving the Firm and its personnel by supporting on regulatory issues, advising the Firm on matters relating to its operations, supporting the Firm's client contracting function, and advising on matters related to employees.
As part of our team, you'll help with researching background information related to legal issues and prepare legal documents. You'll focus on drafting contracts or legal agreements, retaining files of prepared legal documents, and coordinating requests between internal and external counsel.

The Global Transactions attorney will primarily draft and negotiate various technology agreements for PwC's use and deployment of technology throughout its worldwide network. The attorney will focus on XaaS contracting but will also negotiate services agreements; software, hardware, and data licenses; and other global procurement agreements. To support PwC's technology strategy, the attorney will also provide _ad hoc_ counseling on various technology licensing and use issues.

4 year(s) of experience negotiating, drafting, and advising on various technology procurement agreements as part of an intellectual property or technology transactions practice at a top-tier law firm or in a sophisticated in-house environment.
**Preferred Qualifications** :

Demonstrates intimate-level abilities and/or a proven record of success managing efforts with identifying and addressing client needs:
Structuring, drafting, and negotiating sophisticated agreements with cloud service providers, software licensors, data licensors, professional service providers, and other technology vendors and licensors;
Applying expert knowledge of contracting requirements under various data privacy laws, with a special focus on EU data privacy regulations, including provisions related to lawful, cross-border personal data transfer;
Evaluating PwC's use and deployment of third-party technologies to maintain ongoing contractual compliance;
Advising on the design and development of proprietary business applications to ensure compliance with agreements with third-party service providers and licensors, and data use and transfer regulations;
Identifying material legal, regulatory, contracting, and business issues and provides pragmatic solutions using prudent business judgment and applying effective risk management strategies, often on a time-sensitive basis;
Interpreting complex agreements and provides clear information and analysis to business stakeholders;
Collaborating with worldwide, cross-functional teammates and stakeholders working across many times zones and within different cultures;
Providing accurate and timely counsel to senior PwC leadership on a variety of legal issues related to technology use and procurement;
Engaging and managing outside counsel to obtain optimal outcomes while minimizing costs;
Managing many concurrent, complex matters with multiple stakeholders and business pressures;
Using Microsoft Word to efficiently draft agreements and resolve issues, and competently uses standard legal research and writing technologies (e.g., Westlaw);
Displaying communication skills in speaking and writing; and,
