What are the responsibilities and job description for the Corporate Paralegal position at Stoel Rives LLP?
Stoel Rives LLP has an immediate opening for a Corporate Paralegal in any of our offices. This position assists attorneys in the delivery of legal services to the firm’s clients and works under the direction of the firm’s lawyers and, in many instances, directly with clients. Responsibilities for client work are directed by an attorney. Our corporate paralegals are a key part of our professional client teams and this position allows a candidate to assume significant responsibility for transactions and offers opportunities for professional growth. They are also the first contact point for many of our clients.
ESSENTIAL FUNCTIONS/RESPONSIBILITIES
1. Technical Information & Research
Highly organized and experienced in corporate/transactional law and record keeping including entity formation, annual reporting, operating agreements, partnership agreements, corporate structuring, sales, mergers and acquisitions. Conduct lien and litigation searches nationwide. Maintain and update corporate records and minute books. Research and analyze legal sources such as statutes, case law, legal articles, and regulatory sources. Communicate regularly with attorneys and clients regarding the status of projects and deadlines and informs attorneys of any issues.
2. Document Preparation
Draft Operating Agreements, Bylaws, Certificates of Incorporation, Board and Shareholder Consents, Warranty and Stock Option documentation, Securities memos and Closing Checklists. Prepare final closing book and draft necessary stock certificates in regard to Mergers and Acquisitions and corporate refinancing/restructuring deals. Prepare UCC financing statement filings, amendments and terminations. Prepare, distribute and file annual reports and renewals. Filing and obtaining employer and tax identification numbers (EINs).
3. Client Services
Develop and maintain positive relationships with the firm’s clients, title insurance companies, closing agents, administrative agencies, and other outside vendors.
4. Administrative Duties
Perform administrative responsibilities assigned by the practice area or department chair. Examples include disseminating changes in the codes, statutes, regulations and procedures to others in the firm and maintaining current files of forms used in the assigned practice area.

Technical Knowledge
Must have corporate transactional experience that demonstrates analytical and written capabilities. Blue Sky experience preferred. Must have prior experience with or be capable of rapidly understanding, interpreting and applying to various client circumstances the applicable legal framework and internal procedures related to the assigned practice area. Knowledge of word processing and spreadsheet software in a Windows-based environment.
EDUCATION & EXPERIENCE
High school degree required; college degree preferred. Must have paralegal certificate and at least 5 years’ relevant experience.
NORMAL WORK HOURS
This position is nonexempt and eligible for overtime compensation. Working regular hours, 8:30 a.m. to 5 p.m., Monday through Friday, is essential, as well as being present in the office at least three days a week, and the ability to work longer hours is essential during peak work load periods, during fast-moving transactions or in order to communicate with parties in different time zones. Occasionally may be required to travel out of town overnight(s) to assist with client management and transaction closing.
