POSITION SUMMARY
The Legal manager is responsible to provide support and advice on legal matters and participate in team procurement efforts on large infrastructure projects.
Responsibilities
Manage project agreements design-build/progressive design-build construction contracts, interface agreements with
designers and other project parties.
Draft, review, and negotiate (and develop and update, as necessary) forms of contracts, subcontracts, design agreements, joint
venture agreements, and memoranda of understanding.
Review contract documents including submission forms, coordinate among partners and subcontractors.
Establish contract management procedures; provide ongoing support to ensure compliance with contract management
procedures; provide ongoing support on interpretation of contracts.
Establish claim management procedures; provide ongoing support to ensure compliance with claims management procedures;
advise on claims as they arise.
Manage litigation, arbitration, and ADR files, including providing direction and supervision of outside counsel.
Manage parent company guarantees, lenders’ direct agreements, and joint venture agreements.
Corporate compliance functions, including managing annual corporate filings, board resolutions, business licenses, and
manage competition/antitrust matters.
Miscellaneous corporate matters including office leases, general security agreements, corporate indemnity agreements (for
bonding, etc.).
EDUCATION AND QUALIFICATIONS
Bachelor of Laws (LL. B) or Juris Doctor (J.D.) Degree
Member in good standing with the Law Society of Ontario or another provincial bar association
5-10 years of relevant legal experience, with knowledge of design/build and P3/infrastructure projects
JOB REQUIREMENTS
Previous infrastructure/construction/surety/development experience will be considered an asset.
Contract drafting and negotiation experience.
Team player with strong communication skills
Strong analytical and organizational capabilities
