Job Overview Focused on a wide breadth of Corporate Governance matters, including SEC, Securities, Subsidiary Management, and Finance, TuSimple's Paralegal III, provides assistance across the Corporate Legal department in support of our short- and long-term organizational objectives. The Paralegal III works cross-functionally to execute a wide variety of corporate and securities projects, including preparation and organization of board and committee materials, corporate governance program support, drafting a wide range of legal and professional documents, supporting with legal and regulatory filings, tracking and managing compliance requirements, etc. The role requires superior attention to detail and organization, while juggling competing priorities and maintaining excellent service to internal and external customers. Responsibilities * Provides legal and administrative support in relation to corporate governance programs, including: managing the Insider Trading program and Stock Exchange compliance, oversight of the governance section of TuSimple's public and internal websites, drafting and or review of governance policies and procedures, and other annual and quarterly compliance requirements and processes. * Supports overarching Corporate Governance processes, including: record keeping, preparation and organization of Board materials and meeting minutes, maintaining entity organizational charts, officer and director rosters, subsidiary documentation, facilitates and leads the annual director and officer questionnaire process. * Assists with entity formation and dissolution, including foreign qualifications. * Drafts and prepares a wide range of documents, including: meeting minutes and materials, resolutions, governance documentation, certifications, consents, reports, etc. * Partners cross-functionally with the Corporate Controllership, Investor Relations, and the Equity Administration teams on SEC filings, including proxy statements, periodic reports, Section 16 filings, 10-K, 10-Q, 8K, etc. * Provides support with securities matters, including: issuing trading clearance within the Stock Administration systems and Rule 144 legend removals. * Assists with any M&A activities or other strategic transactions, including drafting and reviewing non-disclosure agreements, conducting due diligence, integration activities, etc. Experience & Skills - Required * 4 years of paralegal experience. * Corporate Governance Paralegal experience within a publicly traded company, preferred. * High school diploma or equivalent is required. A Bachelor's degree is preferred. * Strong knowledge and understanding of corporate governance, finance, and/or securities transactions. * Proven strength with verbal and written communications for legal correspondence; including drafting resolutions, consents, minutes, charters, certificates, bylaws, etc. * Demonstrated ability to prepare, and/or assist with the preparation of, SEC filings and supporting materials, including Section 16, Forms 10-K, 10-Q, proxy statements, and other related filings. * Knowledge of and ability to interpret SEC regulations. * Knowledge of and ability to interpret California and Delaware corporate law. * Ability to effectively utilized entity management systems. * Understanding of and ability to effectively utilize electronic board portals. * Proven strength with maintaining confidentiality and exercising appropriate discretion, while providing superior internal and external client service. * Demonstrated willingness and ability to learn new corporate governance software tools. * Proven excellence with planning, time-management, organization, attention to detail, and prioritization.
