Job Summary

  • As Associate Counsel, you will play a crucial role in providing legal advice, guidance, and counsel to the organization on matters regarding contracts, legal disputes, and compliance with relevant laws and regulations. Your expertise in contract negotiation, drafting, and legal disputes will be essential in protecting the company's interests while simultaneously minimizing legal risk.

Essential Functions and Tasks

  • Draft, review, and negotiate a large volume of strategic contracts, including client services contracts, business associate agreements, vendor agreements, and non disclosure agreements.
  • Identify and address legal and commercial risks in contracts, ensuring alignment with company policies and objectives.
  • Develop and update standard form agreements and templates.
  • Provide actionable and sound legal advice, prepare reports, and make recommendations to management on a variety of legal issues.
  • Monitor legislative and regulatory changes that may affect Ventra and its affiliates.
  • Successfully manage and resolve contract disputes, with the assistance of external counsel as needed.
  • Contribute in other legal areas as needed, which may include compliance, corporate governance, employment matters, M&A activities and/or litigation management.
  • Drive excellence in, streamline and scale Ventra’s contract operations, including utilization of Ventra’s Ironclad contract management system.

Education and Experience Requirements

  • College degree and juris doctorate from accredited law school.
  • Licensed to practice law in good standing under the state bar of the attorney’s work location.
  • Minimum 3-5 years of relevant experience in corporate law firms and/or in-house legal department, preferably with a multinational company and in healthcare or a healthcare-adjacent industry.

Knowledge, Skills, and Abilities

  • Superior verbal, written, and presentation skills, including business communications with senior leadership, and ability to solve and explain legal issues.
  • Excellent judgment, analytical skills and ability to resolve legal and business issues efficiently and effectively.
  • Strong knowledge of key legal concepts and tactics in negotiations
  • Highly proactive and responsive with a customer-focused mindset.
  • Ability to work both independently and collaboratively under pressure, prioritize and manage significant workload to meet deadlines in a challenging and fast-paced environment.
  • Strong experience with contract management software and other technology tools in support of contract operations.
  • Thorough understanding of HIPAA, privacy law and information security considerations as they relate to contracting.
