What are the responsibilities and job description for the Assistant General Counsel position at WTW?
We are seeking an Assistant General Counsel to join our legal department. The successful candidate should be comfortable working with cross-functional business teams and external parties to handle a wide variety of corporate and commercial matters and provide ad hoc advice and counsel. The candidate will be responsible for providing legal leadership and oversight for our managing general underwriters or agents (MGUs) in North America. This role will work directly with the MGU senior leaders acting as a trusted advisor regarding legal issues relating to implementation of strategy, processes and products to ensure alignment to the legal, regulatory and risk framework in which the MGU business will operate.
The Role
- Provides legal leadership and oversight for the MGU’s operations.
- Manages and mitigates the legal risks associated with building and running the MGU business. This includes the coordination and implementation of the necessary preventative internal controls to remain in compliance with the rules and regulations in place.
- Provides support for middle market and complex risk client needs.
- Work with cross functional teams within the legal department and the business (sales, IT, HR, Insurance, Privacy, Finance, Employment, Litigation, Investigations, Compliance, etc.)
- Provides support across multiple lines of MGU business, including property, general liability, umbrella/excess, auto, workers’ compensation and financial lines.
- Provides expert legal advice to the MGU business with respect to broker and competitor policy forms, endorsements and other manuscript forms specific to target industries.
- Provides advice to the MGU business on complex insured legal entity structures and corresponding coverage within Named Insured and Broad Form Named Insured sections of policy coverage.
- Provides advice based on in depth understanding of insurance regulatory environment to ensure compliance with state admitted/deregulation requirements, filing requirements, statutory reporting requirements and all other state compliance requirements.
- Working with other members of the legal department, provides expert advice on alternative products, including payment agreements, captive agreements, reinsurance agreements, fronting agreements, letters of credit, loss portfolio transfers, etc.
- Provides legal support for reviewing contracts with third parties such as Claims TPA’s, preferred vendors and all other service providers.
- Provides continuous legal support for innovative insurance solutions (i.e., lease gap coverage, parametric coverage, etc.).
- Provides timely support working to meet all internal and external account deadlines.
The Requirements
- Demonstrated track record as a senior lawyer across private practice and in-house legal practice support. Licensed and in good standing as an active member of the bar in at least one of the 50 states or other relevant jurisdiction. .
- 10 years of experience working in the U.S. Property and Casualty market with comprehensive knowledge of insurance coverage, regulation, compliance, and reporting.
- Experience of alternative risk transfer mechanisms including insurance-linked securities and capital markets transactions.
- A high level of intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical, problem-solving, written, and oral communication skills.
- Excellent project management skills, well organized, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under tight deadlines.
- Experience working closely with underwriters to provide insurance solutions and policy wording advice to the MGU business in conjunction with chief underwriting officer.
- Experience providing thought leadership and managing business expectations.
- Ability to contribute to development of regulatory compliance frameworks.
- Team-oriented and able to work collaboratively and effectively with business clients and other Office of the General Counsel members, as well as being a self-starter comfortable working independently.
- Juris Doctor Degree from an accredited law school
