Position Summary

The Corporate Paralegal role is a dynamic position reporting to the Associate Legal Counsel supporting the Rocket Legal Function and Business Development team, involving frequent interaction and collaboration with company leadership and external partners.

Responsibilities

· Assist the legal and corporate team with ongoing public company matters, including proxy statement, annual meeting, annual and quarterly filings, and corporate compliance calendars.

· Contract administration including facilitating signatures on contracts; collaborating, optimizing, and managing contract and workflow systems.

· Assist with drafting minutes, agendas, routine legal resolutions, and other board documents.

· Serve as main point of contact for inputs and information from Contract Management System.

· Provide regular updates of key contract deadlines / auto-renewals / projected expirations.

· Support maintenance of library of standardized form documents, contract clauses, and templates.

· Drafting, review and negotiation of basic agreements from Company templates such as confidentiality agreements, service agreements and consulting agreements as well as statements of work, quotes and proposals.

· Assist the VP, IP with maintaining the Company’s IP portfolio by managing internal patent database and facilitating signatures.

· General administrative and operational assistance for Legal, Compliance and Corporate.

Qualifications

· Bachelor’s degree

· At least 5 years of legal administrator, corporate paralegal, or contracts management experience in an in- house environment, preferably at a life-sciences company.

· Significant professional experience may be considered in lieu of a formal degree requirement.

· Prior significant experience with a contract management system, experience with Plexus a plus.

· Excellent written and verbal communication skills.

· Proficiency with Microsoft Office suite, including Word, Excel and PowerPoint.

· Ability to work independently and prioritize tasks/projects.

· A strong sense of professionalism and discretion.

· Extremely organized and detail oriented.

· Enthusiastic and open to learning new subject matters.
