Our Chief Legal Officer is hiring a key leadership role on Contentful’s small but growing legal team. This is a dynamic role with broad corporate responsibility for this venture-backed company including M&A, strategic ventures and corporate partnerships, corporate governance and general corporate work, securities law compliance, and stock administration.

The successful candidate will have 8 - 12 years of broad-based corporate and transactional experience both domestically and internationally. The successful candidate will have experience helping growing companies mature and scale, and will have a demonstrated ability to lead a variety of matters. 

Job Responsibilities:

• Providing legal counsel on the full spectrum of general corporate matters, including joint ventures, financings, acquisitions and divestitures and other business development activities
• Working with domestic and international cross-functional teams on international corporate governance matters, including legal support for international entity formations and restructurings
• Providing legal support for corporate communications, human resources, facilities, insurance, and risk management
• Providing legal advice and counsel on federal and state securities laws matters
• Advising on and supporting executive compensation, stock plan, stock administration, and related matters
• Building and managing a corporate team comprised of a corporate paralegal and equity plan administrator

• Excellent communication skills, both speaking and writing

• Works well with both legal and business personnel
• High personal standards of excellence and ethics, as well as the ability to act with discretion, strict confidentiality and sensitivity towards issues and individuals
• Innate curiosity, desire and ability to learn rapidly, resiliency and comfort serving as a trusted business partner
• Team player who is willing to pitch in wherever needed

Requirements:

• J.D. from an accredited law school and licensed to practice law in California (registered in house counsel is acceptable);
• 10+ years of general corporate and M&A legal experience at a top-tier law firm, in-house, and public company experience is a plus;
• Experience working with venture-backed high growth private companies is desired;
• The ability to work independently, think creatively and flexibly, and provide practical legal solutions; and
• Must enjoy working with a broad range of business team members in a fast-paced environment.
