Corporate Paralegal

This role demands a person that is comfortable working in a fast-paced environment with a broad range of projects and responsibilities.
In this role, you will be an integral member of the Legal Department team, assisting the Chief Legal Officer (CLO) and staff attorneys with legal matters, including drafting, editing, organizing, and maintaining company documents. This is a high-volume environment where organization, flexibility, and a can-do attitude is a must. In return, you will have the chance to be part of a growing team whose efforts impact the entire organization on a daily basis. This is a non-litigation role.
Your Role:
- Directly support the CLO and staff attorneys on a variety of tasks, projects, and processes, including legal issue management and research which includes: SaaS contracts, corporate governance, compliance & insurance matters,
- Facilitate the completion of commercial contracts by maintaining templates, proofreading, and collecting business information for schedules/appendices. Ensure appropriate contract authorization.
- Act as the in-house expert and organizer on our in house document management system
- Assist with corporate transactions with documents, filings, and due diligence
- Prepare and review confidentiality agreements with attorney supervision
- Assist and maintain all insurance policies of the company.
- Assist and maintain all corporate records.
- Provide administrative support for an attorney(s)
- Participate in the definition and development of corporate policies, procedures, and programs and provide continuing counsel and guidance on all legal matters
- Successfully complete special projects and other assignments as requested
- Maintain schedule flexibility, when necessary to meet project deadlines
- Uphold an excellent business sense, a strong work ethic, professional appearance, and a good sense of humor
- Frequent travel to our Sarasota office is required
Your Background:
- 3-10 years experience with a law firm or in-house counsel drafting and modifying commercial agreements such as confidentiality, vendor, and master service agreements
- Ability to maintain confidentiality and discretion in all matters
- Confidence and demeanor to interact professionally with all levels of management, board members, and external parties
- Experience with cloud-based document management systems. Experience with NetDocuments preferred but not required
- Demonstrative experience using Microsoft Office, Adobe, and Google Suite applications
- Experience using CRM software (Sugar preferred), and electronic signature (RightSignature preferred) and virtual data room applications helpful but not required
- Analyze and research facts to succinctly frame legal questions or issues for attorney review
- Identify challenges and propose solutions to improve departmental functions
- Work well in a team environment, but also have the self-motivation needed to work independently and see projects to completion with limited supervision
- Prioritize tasks to ensure their timely, efficient, and full completion while paying careful attention to details and organization.
- Be able to function effectively in a busy, team-oriented work environment.
